大連萬(wàn)達(dá)集團(tuán)并購(gòu)美國(guó)AMC公司案例研究

【摘要】:在全球化背景下,國(guó)內(nèi)很多企業(yè)將跨國(guó)并購(gòu)作為其實(shí)施國(guó)際化戰(zhàn)略,開(kāi)拓海外市場(chǎng)的重要途徑。但從目前情形來(lái)看,跨國(guó)并購(gòu)的成功率不盡如人意,某些跨國(guó)并購(gòu)未能成功達(dá)成交易,某些雖達(dá)成交易,經(jīng)營(yíng)狀態(tài)卻不佳,甚至一度陷入虧損狀態(tài),實(shí)現(xiàn)預(yù)期目標(biāo)的企業(yè)著實(shí)不多。大連萬(wàn)達(dá)集團(tuán)并購(gòu)美國(guó)AMC公司是我國(guó)民營(yíng)企業(yè)在文化產(chǎn)業(yè)板塊上的大規(guī)模并購(gòu),且萬(wàn)達(dá)集團(tuán)并購(gòu)AMC公司四年多以來(lái),AMC扭虧為盈,萬(wàn)達(dá)集團(tuán)規(guī)模更大,實(shí)現(xiàn)了可持續(xù)發(fā)展,我們應(yīng)該仔細(xì)探究其成功的原因。本文在歸納總結(jié)前人研究成果的基礎(chǔ)上,以萬(wàn)達(dá)集團(tuán)并購(gòu)美國(guó)AMC公司為例,對(duì)中國(guó)民營(yíng)企業(yè)跨國(guó)并購(gòu)進(jìn)行了研究。研究發(fā)現(xiàn):萬(wàn)達(dá)集團(tuán)并購(gòu)AMC的目的在于加快企業(yè)轉(zhuǎn)型步伐、搶占國(guó)內(nèi)電影市場(chǎng)占有率、提高國(guó)際競(jìng)爭(zhēng)力和品牌知名度,從而進(jìn)一步開(kāi)拓海外市場(chǎng)。萬(wàn)達(dá)集團(tuán)并購(gòu)AMC后,從財(cái)務(wù)績(jī)效來(lái)看,萬(wàn)達(dá)集團(tuán)的盈利能力、償債能力、營(yíng)運(yùn)能力和成長(zhǎng)能力都得到了一定程度的提高,且在實(shí)施并購(gòu)后對(duì)AMC的文化、制度、管理層激勵(lì)、經(jīng)營(yíng)模式、業(yè)務(wù)和財(cái)務(wù)方面進(jìn)行了一系列整合工作,最大限度地發(fā)揮了并購(gòu)給企業(yè)帶來(lái)的效益。萬(wàn)達(dá)集團(tuán)成功并購(gòu)美國(guó)AMC公司就如何做好并購(gòu)前的準(zhǔn)備工作、如何提高并購(gòu)談判水平、并購(gòu)后應(yīng)進(jìn)行哪些整合三個(gè)方面,給國(guó)內(nèi)其他民營(yíng)企業(yè)進(jìn)行跨國(guó)并購(gòu)以啟示,為我國(guó)民營(yíng)企業(yè)進(jìn)行跨國(guó)并購(gòu)樹(shù)立了信心。
[Abstract]:Under the background of globalization, many domestic enterprises regard cross-border M & A as an important way to implement international strategy and open up overseas markets.However, judging from the current situation, the success rate of cross-border mergers and acquisitions is not satisfactory. Some cross-border mergers and acquisitions have failed to reach a successful transaction, while others have not been in a good state of operation although they have reached a transaction, and have even been in a state of loss for a time.There are not many enterprises to achieve the expected goals.Dalian Wanda Group M & A of American AMC Company is a large-scale merger and acquisition of private enterprises in China on the cultural industry plate, and Wanda Group M & A AMC Company has been making a profit since the merger of AMC Company for more than four years, and Wanda Group has achieved sustainable development on a larger scale.We should carefully explore the reasons for its success.On the basis of summing up the previous research results, this paper takes Wanda Group's merger and acquisition of American AMC Company as an example to study the cross-border M & A of private enterprises in China.It is found that the purpose of Wanda Group's acquisition of AMC is to quicken the pace of enterprise transformation, seize the share of domestic film market, improve international competitiveness and brand popularity, and further open up overseas markets.After the acquisition of AMC by Wanda Group, the financial performance shows that the profitability, solvency, operating ability and growth ability of Wanda Group have been improved to a certain extent, and the culture, system and management of AMC have been encouraged after the merger and acquisition.Business model, business and financial aspects of a series of integration work, to maximize the benefits of mergers and acquisitions to the enterprise.Wanda Group successfully acquired AMC Company of the United States on how to do the preparation work before M & A, how to improve the level of M & A negotiation, and what integration should be carried out after M & A to enlighten other private enterprises in China to carry out cross-border M & A.Private enterprises for our country to cross-border mergers and acquisitions set up confidence.
