【摘要】：近幾年，外資并購我國國內(nèi)企業(yè)已經(jīng)引發(fā)了越來越多的關(guān)注，這個(gè)現(xiàn)象在我國大豆產(chǎn)業(yè)中表現(xiàn)得尤為突出。一方面，，外資進(jìn)入我國農(nóng)業(yè)發(fā)展可以為我國國內(nèi)的農(nóng)業(yè)發(fā)展帶來新的活力，彌補(bǔ)資金缺口，帶來先進(jìn)的技術(shù)。另一方面，由外資并購所帶來的農(nóng)業(yè)產(chǎn)業(yè)安全性問題更加不容忽視，例如，外資并購帶來的壟斷性優(yōu)勢會(huì)威脅到我國國有企業(yè)的生存問題，影響我國農(nóng)業(yè)自主創(chuàng)新和技術(shù)進(jìn)步速度，甚至?xí)斐蓢壹Z食安全的危機(jī)。這些問題都表明我國大豆產(chǎn)業(yè)目前發(fā)展面臨著困境。本文客觀了分析國際糧商外資并購的方式和外資并購對我國大豆產(chǎn)業(yè)產(chǎn)生的影響，并以此為基礎(chǔ)提出一些相關(guān)的政策建議。本文的結(jié)構(gòu)主要包括以下幾個(gè)方面：第一，系統(tǒng)研究外資并購相關(guān)理論，探究外資并購行為的理論基礎(chǔ)；第二，對于跨國糧商進(jìn)行外資并購的手段，從各個(gè)環(huán)節(jié)入手，進(jìn)行了深度剖析入和比較分析，并總結(jié)其行為對我國大豆產(chǎn)業(yè)鏈各環(huán)節(jié)及社會(huì)民生等產(chǎn)生的影響。第三，針對于這些影響，為我國未來的大豆產(chǎn)業(yè)發(fā)展方式提出一系列建設(shè)性意見。
[Abstract]:In recent years, more and more attention has been paid to the merger and acquisition of domestic enterprises by foreign capital, which is especially prominent in the soybean industry in China. On the one hand, the entry of foreign capital into the agricultural development of our country can bring new vitality to the agricultural development of our country, make up the fund gap and bring advanced technology. On the other hand, the security of agricultural industry brought by foreign M & A can not be ignored. For example, the monopoly advantage brought by foreign M & A will threaten the survival of state-owned enterprises in China. It will affect the speed of agricultural innovation and technological progress, and even lead to the crisis of national food security. These problems indicate that the development of soybean industry in China is facing difficulties. This paper objectively analyzes the mode of foreign capital merger and acquisition of international grain merchants and the influence of foreign capital merger and acquisition on the soybean industry in China, and puts forward some relevant policy suggestions on this basis. The structure of this paper mainly includes the following aspects: first, systematic study of foreign M & A related theory, explore the theoretical basis of foreign M & A behavior; second, the means of foreign M & A for transnational grain merchants, starting from each link, Deep analysis and comparative analysis were carried out, and the influence of the behavior on the soybean industry chain and the society and people's livelihood in China was summarized. Thirdly, in view of these influences, a series of constructive suggestions are put forward for the future development of soybean industry in China.
