論我國房地產(chǎn)信托登記制度

【摘要】:信托與銀行、證券、保險(xiǎn)并稱現(xiàn)代金融的四大工具,它以自身極大的彈性特質(zhì)創(chuàng)造了各種各樣的財(cái)產(chǎn)管理模式,形成了“得人之信、受人之托、代人理財(cái)”的特點(diǎn)。信托制度起源于英國,有“普通法王冠上的寶石”的美譽(yù)。但是我國房地產(chǎn)信托事業(yè)卻因房地產(chǎn)信托登記制度的不健全受到了極大的阻礙。因此,若想讓信托制度這一“舶來品”為我國的經(jīng)濟(jì)建設(shè)服務(wù),尤其是實(shí)現(xiàn)信托制度對我國房地產(chǎn)經(jīng)濟(jì)的造血功能,則有待于我國房地產(chǎn)信托登記制度的完善,為我國房地產(chǎn)信托登記專門立法。為了完善我國房地產(chǎn)信托登記制度,本文將分四個(gè)部分展開論述。第一部分,房地產(chǎn)信托登記的界定和功能。房地產(chǎn)信托登記不同于財(cái)產(chǎn)權(quán)變動(dòng)登記,是指由房地產(chǎn)信托當(dāng)事人申請的,經(jīng)由房地產(chǎn)信托登記機(jī)構(gòu)將房地產(chǎn)信托中的相關(guān)事項(xiàng)記載于登記簿,以供當(dāng)事人、交易第三人、監(jiān)督機(jī)構(gòu)查閱,以確保信托財(cái)產(chǎn)的獨(dú)立性、保護(hù)受益人的利益、維護(hù)交易安全和保障國家監(jiān)察機(jī)構(gòu)的監(jiān)管的一項(xiàng)特殊的登記制度,且這種登記行為在性質(zhì)上屬于行政行為。第二部分,房地產(chǎn)信托登記的客體與內(nèi)容。關(guān)于我國房地產(chǎn)信托登記的客體,學(xué)術(shù)界存在著較大的爭議。有學(xué)者認(rèn)為我國房地產(chǎn)信托登記的客體應(yīng)為信托財(cái)產(chǎn),而有學(xué)者則認(rèn)為是信托法律關(guān)系。筆者認(rèn)為我國房地產(chǎn)信托登記的客體具有雙重性既包括信托財(cái)產(chǎn)又包括信托法律關(guān)系。我國房地產(chǎn)信托登記客體的雙重性還決定了我國房地產(chǎn)信托登記的內(nèi)容應(yīng)包括信托財(cái)產(chǎn)的客觀狀況、信托法律關(guān)系和信托文件三個(gè)方面。第三部分,房地產(chǎn)信托登記的效力。首先,對房地產(chǎn)信托登記對抗主義和登記生效主義兩種效力模式進(jìn)行簡單的介紹。接著,對比分析房地產(chǎn)信托登記生效主義與登記對抗主義在國家公權(quán)力介入程度和意思自治程度方面的差異。最后,得出我國房地產(chǎn)信托登記的效力應(yīng)該改為登記對抗主義的結(jié)論。第四部分,房地產(chǎn)信托登記機(jī)構(gòu)錯(cuò)誤登記賠償責(zé)任。因?yàn)榉康禺a(chǎn)信托登記機(jī)構(gòu)的錯(cuò)誤登記行為將對信托當(dāng)事人的利益產(chǎn)生重大影響,所以我國房地產(chǎn)信托登記機(jī)構(gòu)理應(yīng)承擔(dān)賠償責(zé)任。我國房地產(chǎn)信托登記機(jī)構(gòu)的錯(cuò)誤登記行為引發(fā)的賠償責(zé)任在性質(zhì)上屬于國家賠償責(zé)任。我國房地產(chǎn)信托登記機(jī)構(gòu)承擔(dān)錯(cuò)誤登記賠償責(zé)任的構(gòu)成要件為信托登記機(jī)構(gòu)存在錯(cuò)誤登記行為、錯(cuò)誤登記行為給他人造成了損害、錯(cuò)誤登記行為和損害之間有因果關(guān)系以及信托登記機(jī)構(gòu)存在過錯(cuò)。我國房地產(chǎn)信托登記機(jī)構(gòu)錯(cuò)誤登記賠償責(zé)任的范圍限定為給受益人造成的純經(jīng)濟(jì)損失,并且賦予信托登記機(jī)構(gòu)以追償權(quán)。
[Abstract]:Trust, banking, securities and insurance are the four major tools of modern finance. They create a variety of property management models with their own great flexibility, and form the characteristics of "getting people's trust, receiving people's trust and managing money for people". The trust system originated in England and has the reputation of "the Gems in the Crown of the Common Law". However, the real estate trust in our country is greatly hindered by the imperfection of the real estate trust registration system. Therefore, if we want the trust system to serve the economic construction of our country, especially to realize the hematopoietic function of the trust system to the real estate economy of our country, we need to improve the registration system of the real estate trust in our country. Special legislation for the registration of real estate trusts in China. In order to improve the real estate trust registration system, this paper will be divided into four parts. The first part is the definition and function of real estate trust registration. The registration of real estate trust is different from the registration of change of property rights. It refers to the registration of the relevant items in the real estate trust by the real estate trust registration institution, which is applied by the real estate trust party for the purpose of providing the parties and the third party with the transaction. A special registration system that ensures the independence of the trust property, protects the interests of the beneficiaries, maintains the safety of transactions and safeguards the supervision of the State supervisory body, and is by its nature an administrative act. The second part, the object and content of real estate trust registration. On the object of real estate trust registration in China, there is a great controversy in academic circles. Some scholars think that the object of real estate trust registration in our country should be trust property, while some scholars think it is trust legal relationship. The author thinks that the object of real estate trust registration in our country has dual nature, including both trust property and trust legal relationship. The duality of the object of real estate trust registration in our country also determines that the content of real estate trust registration in our country should include three aspects: the objective condition of the trust property, the trust legal relation and the trust document. The third part, the effectiveness of real estate trust registration. First of all, the real estate trust registration antagonism and registration effectiveness of two types of effectiveness models are briefly introduced. Then, the paper contrasts and analyzes the difference between real estate trust registration effectivism and registration antagonism in the degree of state public power intervention and will autonomy. Finally, we draw the conclusion that the effectiveness of real estate trust registration should be changed to register antagonism. The fourth part, the real estate trust registration agency false registration compensation liability. Because the false registration behavior of the real estate trust registration institution will have a significant impact on the interests of the trust parties, the real estate trust registration organization in our country should bear the liability for compensation. The compensation liability caused by the false registration of real estate trust in our country belongs to the state liability in nature. The constitutive elements of China's real estate trust registration institution to bear the liability for compensation for false registration are the existence of false registration by the trust registration institution, which has caused damage to others. There is causality between wrong registration and damage and fault of trust registration institution. The scope of compensation liability for false registration of real estate trust registration institution in China is limited to the pure economic loss caused to the beneficiary and the trust registration institution is given the right of recourse.
