【摘要】：鋼結(jié)構(gòu)建筑因具有強(qiáng)度高、自重輕、施工周期短、可塑性強(qiáng)、應(yīng)用領(lǐng)域廣等大量?jī)?yōu)點(diǎn),在世界各國(guó)得到廣泛應(yīng)用。鋼結(jié)構(gòu)建筑被譽(yù)為21世紀(jì)的“綠色建筑”,符合國(guó)家發(fā)展節(jié)能省地建筑和經(jīng)濟(jì)持續(xù)健康發(fā)展的要求,受到了國(guó)家的高度重視,被列為住建部十大新技術(shù)之一。A公司作為鋼結(jié)構(gòu)行業(yè)的民營(yíng)中小企業(yè),面臨著巨大的發(fā)展機(jī)遇,但由于其資金的來(lái)源主要為自有資金以及銀行貸款,發(fā)展受到資金短缺的限制。新三板的推出,為A公司破解融資難題提供了現(xiàn)實(shí)可能性。通過(guò)新三板,A公司不僅可以拓寬融資渠道,還可以提升企業(yè)知名度。本文基于券商的視角,在對(duì)A公司實(shí)地調(diào)研的基礎(chǔ)上,找出A公司在新三板掛牌過(guò)程中存在的主要問(wèn)題,提出解決辦法和思路,為其他中小企業(yè)提供借鑒。本文共分為五部分:第一部分進(jìn)行行業(yè)和公司介紹,通過(guò)對(duì)鋼結(jié)構(gòu)行業(yè)的規(guī)模介紹,得出鋼結(jié)構(gòu)行業(yè)發(fā)展前景可觀(guān)的結(jié)論,接著對(duì)公司的歷史、主營(yíng)業(yè)務(wù)、人員構(gòu)成以及公司組織結(jié)構(gòu)進(jìn)行詳細(xì)分析,為下文做鋪墊;第二部分是本文的重點(diǎn)分析部分,即A公司新三板掛牌資格條件分析,主要依托筆者在證券公司實(shí)習(xí)期間參與企業(yè)調(diào)研的經(jīng)歷,通過(guò)將企業(yè)現(xiàn)狀與《全國(guó)中小企業(yè)股份轉(zhuǎn)讓系統(tǒng)業(yè)務(wù)規(guī)則(試行)》中的五個(gè)限定條件進(jìn)行對(duì)比,按照發(fā)現(xiàn)問(wèn)題→分析問(wèn)題→解決問(wèn)題的思路對(duì)企業(yè)進(jìn)行分析,并給出問(wèn)題解決方案;第三部分主要解決A公司在上市過(guò)程中存在的主要問(wèn)題,如公司固定資產(chǎn)權(quán)屬存在糾紛、成本結(jié)轉(zhuǎn)進(jìn)度與收入確認(rèn)進(jìn)度不一致、關(guān)聯(lián)業(yè)務(wù)收入占比過(guò)高等;第四部分主要分析A公司上市后影響持續(xù)經(jīng)營(yíng)的因素,比如稅收優(yōu)惠風(fēng)險(xiǎn)、公司治理風(fēng)險(xiǎn)、實(shí)際控制人不當(dāng)控制風(fēng)險(xiǎn)等;第五部分對(duì)本文案例分析進(jìn)行總結(jié)歸納,提出論文的不足并進(jìn)行展望。
[Abstract]:Due to its advantages of high strength, light weight, short construction period, strong plasticity and wide application fields, steel structure has been widely used all over the world.The steel structure building is praised as the "green building" in the 21st century, which accords with the requirements of the national development of energy-saving, land-saving architecture and sustainable and healthy economic development, and has been highly valued by the state.Company A is listed as one of the ten new technologies in the Ministry of Housing Construction. As a private small and medium-sized enterprise in the steel structure industry, it is faced with great development opportunities. However, the development of the company is limited by the shortage of capital because its source of funds is mainly from its own funds and bank loans.The launch of the new three-board, A company to solve the financing problem provides a realistic possibility.Through the new three-board A company can not only broaden financing channels, but also enhance the visibility of enterprises.In this paper, based on the perspective of securities firms, on the basis of the field investigation of company A, we find out the main problems existing in the process of listing the new third board, and put forward solutions and ideas for other small and medium-sized enterprises.This paper is divided into five parts: the first part introduces the industry and the company, through the introduction of the scale of the steel structure industry, draw the conclusion that the steel structure industry development prospect is considerable, then the history of the company, the main business,The composition of the personnel and the organizational structure of the company are analyzed in detail to pave the way for the following; the second part is the key analysis part of this article, that is, the analysis of the qualification conditions of the new third board listing of company A,Mainly relying on the author's experience of participating in the enterprise research during the practice period of the securities company, by comparing the present situation of the enterprise with the five qualified conditions in the Business rules of the National small and Medium-sized Enterprises share transfer system (try out),According to the train of thought of finding and analyzing the problem and solving the problem, the enterprise is analyzed and the solution is given. The third part mainly solves the main problems in the listing process of company A, such as the dispute over the ownership of the company's fixed assets.The progress of cost carry-over is inconsistent with the progress of revenue recognition, and the proportion of related business income is too high. The fourth part mainly analyzes the factors that affect the continuing operation of company A after listing, such as tax preference risk, corporate governance risk, etc.The fifth part summarizes the case analysis of this paper, puts forward the deficiency of the paper and looks forward to it.
