【摘要】:近年來(lái),房地產(chǎn)市場(chǎng)發(fā)展迅速,房地產(chǎn)項(xiàng)目公司逐步增多,隨之而來(lái)的是房地產(chǎn)項(xiàng)目公司開發(fā)建設(shè)的商品房所引發(fā)的社會(huì)問(wèn)題也越來(lái)越多,購(gòu)房者的權(quán)益受到危害。由于項(xiàng)目公司的特殊性,房地產(chǎn)項(xiàng)目公司一旦終止,購(gòu)房人將面臨無(wú)人可訴的境地,亟需法律保護(hù)其權(quán)益。本文分為三個(gè)部分,擬對(duì)房地產(chǎn)項(xiàng)目公司終止后購(gòu)房人權(quán)益保護(hù)問(wèn)題展開研究。第一部分對(duì)房地產(chǎn)項(xiàng)目公司終止后購(gòu)房人權(quán)益保護(hù)基本概述。從房地產(chǎn)項(xiàng)目公司的終止原因闡釋購(gòu)房人以及購(gòu)房人權(quán)益的內(nèi)涵,分析項(xiàng)目公司終止前后的追責(zé)法律關(guān)系以及項(xiàng)目公司終止將會(huì)給購(gòu)房人帶來(lái)何種影響。論文從商品房、公民、商品房市場(chǎng)三個(gè)方面論述了房地產(chǎn)項(xiàng)目公司終止后保護(hù)購(gòu)房人的必要性,深入探討房地產(chǎn)項(xiàng)目公司終止后仍應(yīng)保護(hù)購(gòu)房人權(quán)益的法理依據(jù)。從關(guān)系契約理論、瑕疵擔(dān)保理論、利益相關(guān)者理論以及社會(huì)責(zé)任理論出發(fā)尋找保護(hù)購(gòu)房人權(quán)益的深刻的法理依據(jù)。第二部分主要論述了房地產(chǎn)項(xiàng)目公司終止后購(gòu)房人權(quán)益保護(hù)存在的法律缺陷。首先,我國(guó)房地產(chǎn)項(xiàng)目公司注銷制度的不足導(dǎo)致缺乏房地產(chǎn)項(xiàng)目公司終止時(shí)公司責(zé)任的法律規(guī)制,從而使項(xiàng)目公司通過(guò)終止注銷逃脫相關(guān)責(zé)任的承擔(dān);其次,由我國(guó)現(xiàn)行的建筑工程質(zhì)量保修制度、住宅專項(xiàng)維修基金制度、建筑工程質(zhì)量保險(xiǎn)制度可以得知保障購(gòu)房人權(quán)益的現(xiàn)行法律制度存在不足;最后,我國(guó)法律缺乏對(duì)項(xiàng)目公司終止后股東責(zé)任的法律規(guī)制。第三部分對(duì)房地產(chǎn)項(xiàng)目公司終止后購(gòu)房人權(quán)益保護(hù)的完善提出建議。本文認(rèn)為應(yīng)該完善房地產(chǎn)項(xiàng)目公司的注銷制度,通過(guò)注銷審查、延長(zhǎng)項(xiàng)目公司主體資格以完善項(xiàng)目公司終止后的公司責(zé)任承擔(dān);建立強(qiáng)制性住宅質(zhì)量保險(xiǎn)制度與潛在責(zé)任保障基金制度以彌補(bǔ)我國(guó)現(xiàn)行法律制度在保障購(gòu)房人權(quán)益方面的不足;通過(guò)法人人格否認(rèn)建立股東繼續(xù)承擔(dān)責(zé)任制度以打破公司的保護(hù)網(wǎng),追究一定范圍的股東責(zé)任以保障購(gòu)房人權(quán)益。
[Abstract]:In recent years, the rapid development of the real estate market, gradually increasing the real estate item company, followed by the social problems caused by the development and construction of real estate item company of commercial housing is also more and more, harm the interests of buyers. Due to the particularity of item company, real estate item company once terminated, buyers will face no one can tell., need legal protection of the rights and interests. This paper is divided into three parts, the paper studies the protection of the interests of buyers of real estate item company after the termination. The first part of the real estate item company after the termination of the purchase rights. From the basic overview of connotation of real estate item company purchase and explain the reason for the termination of the interests of buyers, the termination analysis of item company the accountable legal relationship and the item company will terminate to purchase influence. From the commercial housing, citizens, goods Discusses the necessity of the real estate item company after the termination of the protection of property of the three aspects of housing market, discuss the legal basis to protect the interests of buyers still should be the real estate item company. From the relationship after the termination of the contract theory, warranty theory, stakeholder theory and the theory of social responsibility for the protection of property rights and profound legal basis. The second part mainly discusses the legal defects of real estate item company after the termination of the existence of human rights protection of the purchase. First of all, lack of cancellation system of China's real estate item company resulted in the lack of legal regulation of the real estate item company at the end of the company's responsibility, so that the item company terminated by the cancellation of escape related accountability; secondly, by China's current building project quality guarantee system, residential special maintenance fund system, construction engineering quality insurance system that can guarantee the purchase The current legal system of real rights are insufficient; finally, the law of our country lack of legal regulation of shareholder liability after the termination of item company. The third part put forward the suggestions to improve the protection of the interests of buyers of real estate item company. This paper argues that after the termination of the registration system should improve the real estate item company, through the cancellation of the qualification examination, in order to improve the extension of item company take responsibility for the company after the termination of the item company; the establishment of mandatory residential quality insurance system and potential liability guarantee fund system to compensate for the deficiencies of the existing legal system of China on the protection of the rights and interests of the buyers; through the legal personality to deny the establishment of shareholder responsibility system in order to continue to break the protection of the network company, for a certain range of the shareholder responsibility to protect the interests of buyers.
