【摘要】：先行賠付證券投資者,與先行賠付消費(fèi)者和勞動(dòng)者等主體存在相似的法律邏輯。在證券法上構(gòu)造先行賠付制度具有弱者保護(hù)、降低私權(quán)救濟(jì)成本、提高效率和引導(dǎo)構(gòu)建市場(chǎng)信用等正當(dāng)性,同時(shí)也是證券市場(chǎng)風(fēng)險(xiǎn)防范市場(chǎng)化法治化的應(yīng)有之義。在實(shí)現(xiàn)先行賠付的模式上,宜同時(shí)運(yùn)用行政性基金保障模式和自律性管理模式。在制度的具體構(gòu)造上應(yīng)科學(xué)認(rèn)定和劃分基本損害賠償關(guān)系中的內(nèi)部責(zé)任,妥善平衡投資者保護(hù)與市場(chǎng)風(fēng)險(xiǎn)自負(fù)理念。
[Abstract]:Investors in advance indemnity securities have similar legal logic to those of consumers and laborers in advance payment. The construction of advance indemnity system in securities law has weak protection and reduces the cost of private right relief. The legitimacy of improving efficiency and guiding the construction of market credit is also the proper meaning of the market-oriented legalization of risk prevention in the securities market. The administrative fund guarantee mode and the self-discipline management mode should be used at the same time. In the concrete structure of the system, the internal responsibility in the basic damage compensation relationship should be scientifically identified and divided, and the idea of investor protection and market risk conceit should be properly balanced.
