【摘要】：空白背書票據(jù)是市場(chǎng)經(jīng)濟(jì)追求效率的產(chǎn)物,在貿(mào)易交往中空白背書大量存在,但我國(guó)票據(jù)立法不承認(rèn)此種背書的形式,不僅與世界的主流趨勢(shì)相違背,還引起了許多糾紛浪費(fèi)了司法資源,阻礙了票據(jù)的流通。筆者在引言中提出與空白背書票據(jù)相關(guān)的問(wèn)題,引出一個(gè)經(jīng)典案例,簡(jiǎn)要介紹了案例中因空白背書票據(jù)引起爭(zhēng)議的始末,及一審、二審法院不同的判決結(jié)果。繼而分析上面的案例并提出空白背書票據(jù)在實(shí)踐中的矛盾之處:我國(guó)不認(rèn)可空白背書票據(jù)的法律效力,但商業(yè)活動(dòng)中該種票據(jù)大量存在,為了更好的解決該類糾紛我國(guó)是否應(yīng)承認(rèn)空白背書票據(jù)的法律效力。筆者將論文分為三個(gè)部分進(jìn)行與其相關(guān)的闡述:第一部分:主要是圍繞著引言部分提出的問(wèn)題進(jìn)行論述分析。首先,闡述了我國(guó)空白背書票據(jù)的基本概念及我國(guó)對(duì)該種票據(jù)的法律制度;其次,論述了我國(guó)不承認(rèn)空白背書法律效力的表現(xiàn)在以下幾方面:空白背書的連續(xù)性認(rèn)定有問(wèn)題,補(bǔ)充記載權(quán)不明確,否定單純交付方式等原因;最后,提出空白背書法律效力爭(zhēng)議的原由主要包括:空白背書票據(jù)流轉(zhuǎn)風(fēng)險(xiǎn)較大,該種票據(jù)不利于保護(hù)持票人利益,我國(guó)空白背書制度處于探索期。第二部分:主要是對(duì)空白背書票據(jù)相關(guān)域外立法的闡述,筆者通過(guò)查閱域外關(guān)于空白背書票據(jù)法律效力、補(bǔ)充記載權(quán)、單純交付、連續(xù)性等方面的立法,對(duì)比出我國(guó)在這幾方面立法的不足。第三部分:筆者在這一部分闡述承認(rèn)空白背書票據(jù)的必要性主要包括:便捷空白背書票據(jù)的流通,該種票據(jù)的隱秘性及我國(guó)市場(chǎng)發(fā)展奠定了承認(rèn)空白背書票據(jù)的基礎(chǔ)。進(jìn)一步提出立法建議。為票據(jù)的流通性提供堅(jiān)實(shí)的保障,進(jìn)一步保護(hù)受讓人的債權(quán)。
[Abstract]:Blank endorsement instrument is the result of the market economy pursuing efficiency. There are a large number of blank endorsements in trade exchanges. However, our bill legislation does not recognize the form of endorsement, which is not only contrary to the mainstream trend of the world. Also caused many disputes wasted judicial resources, hindered the circulation of bills. In the introduction, the author raised issues related to blank endorsed bills, leading to a classic case. This paper briefly introduces the disputes caused by the blank endorsement bill in the case, and the first instance. After analyzing the above cases, the author points out the contradiction of blank endorsement bill in practice: our country does not accept the legal effect of blank endorsement bill, but in commercial activities, this kind of instrument exists in large quantities. In order to solve this kind of dispute better our country should recognize the legal effect of blank endorsement bill. The author divides the thesis into three parts to explain it: the first part: mainly about the question raised in the introduction part. First of all, This paper expounds the basic concept of blank endorsement instrument in our country and the legal system of this kind of instrument in our country. Secondly, it discusses that the legal effect of blank endorsement is not recognized in our country in the following aspects: the continuous recognition of blank endorsement is problematic. The reasons why the legal effect of blank endorsement are disputed include: the circulation risk of blank endorsement bill is greater, and this kind of instrument is not conducive to the protection of the holder's interests. China's blank endorsement system is in the exploration period. The second part is mainly about the extraneous legislation on blank endorsement instruments. In the third part, the author expounds the necessity of recognizing the blank endorsement instrument, which includes: the convenient circulation of the blank endorsement instrument, The secrecy of this kind of instrument and the development of our country's market have laid the foundation of recognizing the blank endorsement instrument, further put forward the legislative suggestion, provide the solid safeguard for the negotiable property of the bill, and further protect the creditor's rights of the transferee.
