【摘要】： 2002年7月30日美國(guó)國(guó)會(huì)頒布的《薩班斯-奧克斯利法案》是自20世紀(jì)30年代以來美國(guó)最主要,也是最根本的對(duì)財(cái)務(wù)審計(jì)標(biāo)準(zhǔn)的變革。它的頒布對(duì)公眾公司、公司治理和其他方面帶來了重大的變化和強(qiáng)有力的新規(guī)則。內(nèi)部審計(jì)就是其他方面的重大變化之一。 本文首先介紹了內(nèi)部審計(jì)的基本概念和薩班斯法案的主要內(nèi)容,進(jìn)而對(duì)薩班斯法案對(duì)內(nèi)部審計(jì)的影響進(jìn)行了分析,進(jìn)而提出構(gòu)建治理型內(nèi)部審計(jì)的觀點(diǎn),然后重點(diǎn)論述了構(gòu)建治理型內(nèi)部審計(jì)的一般步驟,以及在美國(guó)上市的中國(guó)企業(yè)S公司應(yīng)對(duì)薩班斯考驗(yàn)而實(shí)施的治理型內(nèi)部審計(jì)項(xiàng)目的具體規(guī)劃,希望能給我國(guó)企業(yè)內(nèi)部審計(jì)的發(fā)展和完善提供一些建設(shè)性意見。
[Abstract]:In July 30, 2002 the United States Congress enacted the "Sarbanes Oxley act" is the United States since 1930s, the most important and most fundamental standard for financial audit changes. It issued to the public company, corporate governance and other aspects brought about major changes and powerful new rules. One of the major changes in the internal audit is in other aspects.
This paper first introduces the basic concept and main content of the Sarbanes act of internal audit, and analyses the effects of the Sarbanes act of internal audit, and puts forward the construction of governance internal audit opinion, and then focuses on the construction of governance internal audit the general steps, the specific planning and management of internal audit projects as well as in the United States the Chinese company S to Sarbanes and the implementation of the test, hoping to give the development of internal audit of enterprises in our country and provide some constructive suggestions.
