【摘要】：隨著我國市場經(jīng)濟體制不斷完善，資本市場日益開放，產(chǎn)權(quán)市場交易也日趨頻繁，企業(yè)估價問題成為決定各種交易能否成功的關(guān)鍵。企業(yè)價值最大化也因此引起了企業(yè)管理當(dāng)局和企業(yè)各利益相關(guān)者的普遍重視。將國外成熟的企業(yè)價值評估理論借鑒運用到我國評估實踐中對產(chǎn)權(quán)市場的健康發(fā)展有重要意義。 醫(yī)藥行業(yè)與人的生命密切相關(guān)，被稱為“永遠的朝陽產(chǎn)業(yè)”，有良好的發(fā)展前景。正確評估醫(yī)藥上市公司的內(nèi)在價值，能為股票投資、股權(quán)轉(zhuǎn)讓、融資重組及企業(yè)發(fā)展等提供決策依據(jù)。 本文以醫(yī)藥行業(yè)上市公司企業(yè)價值評估方法研究作為選題，綜合運用文獻綜述、理論陳述、定性分析與定量分析相結(jié)合、案例分析等研究方法，先對國外企業(yè)價值評估理論、方法及模型進行梳理，，并根據(jù)醫(yī)藥行業(yè)的相關(guān)經(jīng)濟特征，選擇收益法中的公司自由現(xiàn)金流量貼現(xiàn)模型對國內(nèi)大輸液的行業(yè)龍頭科倫藥業(yè)進行定量分析，詳細闡述評估各參數(shù)選擇及計算分析過程，從而為我國醫(yī)藥上市企業(yè)價值評估提供實際可參考的案例評估框架和評估操作流程。
[Abstract]:With the continuous improvement of the market economy system and the opening of the capital market, the transaction of the property right market is becoming more and more frequent. The evaluation problem of the enterprise becomes the key to the success of all kinds of transactions. Therefore, the maximization of enterprise value has aroused the general attention of the enterprise management authorities and various stakeholders of the enterprise. It is of great significance for the healthy development of the property right market to apply the foreign mature enterprise value evaluation theory to the appraisal practice of our country. The pharmaceutical industry is closely related to human life and is called "eternal sunrise industry", which has a good development prospect. The correct evaluation of the intrinsic value of pharmaceutical listed companies can provide the decision basis for stock investment, equity transfer, financing reorganization and enterprise development. This paper takes the research on the evaluation method of enterprise value of listed companies in the pharmaceutical industry as the topic, synthetically applies the methods of literature review, theoretical statement, qualitative analysis and quantitative analysis, case analysis and so on. Methods and models were combed out, and according to the related economic characteristics of pharmaceutical industry, the discount model of company free cash flow in income method was selected to quantitatively analyze Collen pharmaceutical industry, which is the leading industry of domestic infusion industry. The selection of evaluation parameters and the process of calculation and analysis are described in detail, so as to provide a practical reference case evaluation framework and evaluation operation flow for the value evaluation of listed pharmaceutical enterprises in China.
