【摘要】：從長遠來看,核準制向注冊制的轉(zhuǎn)變順應股票發(fā)行審核制度的發(fā)展趨勢,隨著證券市場化的不斷深入,證券投資者的理性不斷提高、觀念更加成熟,股票發(fā)行注冊制更加符合我國股票發(fā)行審核制度的改革方向。應采取溫和漸進的方式逐步推進注冊制改革:修訂《證券法》,完善配套法規(guī);轉(zhuǎn)變監(jiān)管理念,加強監(jiān)管執(zhí)法;完善信息披露制度,強化信息披露義務;健全退市制度,細化退市標準;以注冊制改革為契機,健全投資者保護體系。
[Abstract]:In the long run, the change from the approval system to the registration system conforms to the development trend of the stock issuance audit system. With the deepening of the securities marketization, the rationality of the securities investors is constantly improving and the concept is more mature. The registration system is more in line with the reform direction of China's stock issuance audit system. We should adopt a moderate and gradual way to promote the reform of the registration system: to amend the Securities Law, to perfect the supporting laws and regulations, to change the concept of supervision, to strengthen the supervision and enforcement, to perfect the information disclosure system, to strengthen the obligation of information disclosure, and to perfect the delisting system. Refine the delisting standards; take the reform of registration system as an opportunity to improve the investor protection system.
