【摘要】：私募股權(quán)二級(jí)市場(chǎng)是私募股權(quán)基金權(quán)益的交易場(chǎng)所，也是近年來逐步受到重視的一個(gè)退出渠道。其對(duì)促進(jìn)私募股權(quán)一級(jí)市場(chǎng)和整個(gè)行業(yè)的發(fā)展有著重要的作用。盡管私募股權(quán)二級(jí)市場(chǎng)早已存在，但對(duì)私募股權(quán)基金的投資組合的轉(zhuǎn)讓交易的研究是一個(gè)全新的學(xué)術(shù)領(lǐng)域，國(guó)際上并沒有專門的文獻(xiàn)單獨(dú)對(duì)此進(jìn)行過論述，，更缺乏對(duì)兩個(gè)市場(chǎng)間相互作用影響的分析。 本文對(duì)私募股權(quán)投資組合交易過程中的買賣兩方的影響因素進(jìn)行了分析，得出私募股權(quán)二級(jí)市場(chǎng)的存在將有助于私募一級(jí)投資市場(chǎng)中基金對(duì)企業(yè)價(jià)值發(fā)現(xiàn)的結(jié)論，回答了私募股權(quán)二級(jí)市場(chǎng)的存在意義和影響市場(chǎng)的相關(guān)因素。對(duì)實(shí)際操作中的交易定價(jià)的考量有很強(qiáng)的現(xiàn)實(shí)指導(dǎo)意義。 本文的主要內(nèi)容包括私募股權(quán)二級(jí)市場(chǎng)的歷史背景、市場(chǎng)結(jié)構(gòu)、影響驅(qū)動(dòng)因素以及對(duì)于一二級(jí)市場(chǎng)相互之間作用的總結(jié)。
[Abstract]:The secondary market of private equity is the trading place of private equity fund, and it is also an exit channel that has been paid more and more attention in recent years. It plays an important role in promoting the development of private equity market and the whole industry. Although the secondary market of private equity has existed for a long time, the research on the transfer of portfolio of private equity funds is a new academic field, which has not been discussed separately in the international literature. There is also a lack of analysis of the interaction between the two markets. This paper analyzes the influence factors of two parties in the process of private equity portfolio trading, and draws the conclusion that the existence of the secondary market of private equity will be helpful to the discovery of the value of fund to enterprise in the private equity primary investment market. It answers the significance of private equity secondary market and the related factors that affect the market. The consideration of transaction pricing in practice has a strong practical significance. The main contents of this paper include the historical background of the private equity secondary market, market structure, influencing factors and a summary of the interaction between the primary and secondary markets.
