【摘要】：民營企業(yè)在我國的經(jīng)濟騰飛的歷程中起到了不可估量的作用,為尋求融資之路和促進民營企業(yè)的進一步發(fā)展,越來越多的民營企業(yè)積極上市。最近幾年來我國民營上市公司終極控制人剝奪中小股東利益的事件屢見不鮮,出現(xiàn)這種現(xiàn)象與我國民營上市公司的公司治理模式有著密不可分的關(guān)系,在這些治理模式中金字塔股權(quán)結(jié)構(gòu)占據(jù)主導(dǎo)地位。這一現(xiàn)象的長期發(fā)展勢必會嚴(yán)重打擊我國中小投資者的投資信心,進而會阻礙我國資本市場的發(fā)展。因此,防止終極控制人對中小股東的利益的剝奪和上市公司的資源不被轉(zhuǎn)移已成為我國民營上市公司當(dāng)前任務(wù)的重中之重。 本文首先簡要回顧了國內(nèi)外學(xué)者對上市公司在不同股權(quán)結(jié)構(gòu)的治理模式、金字塔型股權(quán)結(jié)構(gòu)分析、民營上市公司的終極控制人對中小股東的利益侵占手段以及金字塔股權(quán)結(jié)構(gòu)給公司價值帶來的影響的研究成果。其次,對金字塔股權(quán)結(jié)構(gòu)的相關(guān)概念進行了闡述,并分析了我國民營企業(yè)選擇上市以及上市后中小股東利益受損的原因。接著借助實際案例分析民營企業(yè)的終極控制人對中小股東利益侵占的具體行為表現(xiàn)。同時本文基于以上的理解提出假設(shè),并且用實證的形式探索了金字塔股權(quán)結(jié)構(gòu)下終極控制人剝奪中小股東利益的影響因素及其深層原因,本文還一并分析了控制性股東對上市公司的兩種行為(掏空行為和支持行為)對上市公司價值的影響。最后,依據(jù)上述的分析從內(nèi)部治理、外部監(jiān)督以及法律的完善方面提出了相應(yīng)的建議。
[Abstract]:Private enterprises have played an inestimable role in the course of our country's economic take-off. In order to seek the way of financing and promote the further development of private enterprises, More and more private enterprises are listed actively. In recent years, the ultimate controller of private listed companies in China deprives the interests of minority shareholders. The emergence of this phenomenon is closely related to the corporate governance model of private listed companies in China. In these governance models, pyramid equity structure occupies a dominant position. The long-term development of this phenomenon will surely seriously attack the investment confidence of small and medium-sized investors in China, and thus hinder the development of our capital market. Preventing the ultimate controller from depriving the minority shareholders and not transferring the resources of the listed companies has become the most important task of the private listed companies in our country. First of all, this paper briefly reviews the governance model of listed companies in different ownership structures, the pyramid equity structure, and the analysis of domestic and foreign scholars. The ultimate control of private listed companies to occupy the interests of minority shareholders and pyramid ownership structure on the value of the company research results. Secondly, the relevant concepts of pyramid equity structure are expounded. It also analyzes the reasons why the private enterprises choose to go public and the interests of the minority shareholders are damaged after listing, and then analyzes the concrete behavior of the ultimate controller of the private enterprises encroaching on the interests of the minority shareholders with the help of practical cases. Based on the above understanding, this paper puts forward some hypotheses, The paper also explores the influence factors and the deep reasons of the ultimate controller depriving the minority shareholders under the pyramid ownership structure by the form of empirical research. This paper also analyzes the influence of two behaviors (tunneling behavior and supporting behavior) of controlling shareholders on the value of listed companies. External supervision and the improvement of the law put forward the corresponding suggestions.
