【摘要】：退市機(jī)制的建立是為了凈化市場，但是，我國證券市場一大批績劣公司的存在使得退市制度幾乎形同虛設(shè)。2012年6月28日，滬深交易所分別發(fā)布了主板上市公司退市制度方案，新的退市制度較之前有了較大的突破，開始逐漸向國際慣例接軌，這些新的政策能否促進(jìn)我國證券市場形成有進(jìn)有退的良性循環(huán)，，是一個值得研究的熱點課題（劉存緒、劉圢，2013）。 本文以此作為研究基礎(chǔ)，詳細(xì)分析了我國證券市場在退市問題上的發(fā)展情況和新時期所面臨的問題，通過借鑒國外成熟市場的做法，從中汲取先進(jìn)經(jīng)驗和方法。文章認(rèn)為，由于退市問題和公司上市、公司治理以及資本市場資源配置的緊密聯(lián)系，退市機(jī)制的完善和有效執(zhí)行對于提高我國證券市場整體質(zhì)量具有重大意義。 本文共分五個章節(jié)。第一章是緒論，闡述論文選題的背景，選題的意義、國內(nèi)外研究現(xiàn)狀、研究目的和研究方法等；第二章是對上市公司退市制度的概述，介紹了我國退市制度的發(fā)展情況并同國外主要市場在退市制度上進(jìn)行了對比；第三章是分析新時期我國上市公司退市面臨的問題。研究了影響退市的市場環(huán)境、退市對于公司主體和中小股東權(quán)益的影響，對*ST炎黃和*ST創(chuàng)智兩家公司退市的典型案例進(jìn)行了分析；第四章是提出解決現(xiàn)階段我國上市公司退市問題的相關(guān)意見；第五章是本文結(jié)論和局限性。
[Abstract]:The establishment of the delisting mechanism in order to purify the market, but our country stock market has a large number of bad performance company makes the delisting system is almost non-existent.2012 in June 28th, the Shanghai and Shenzhen stock exchange were released for the main board delisting system of listed companies, the new delisting system than before with a big breakthrough, gradually converging to the international practice, these the new policy can promote China's securities market has formed into a virtuous cycle of retreat, is a worthy research topic (Liu Cunxu, Liu Ting, 2013).
Taking this as the basis of the research, a detailed analysis of the problems facing the development of the delisting on the situation of China's securities market and the issue of the new period, through drawing lessons from foreign mature market, learn from the advanced experience and methods of the article, the delisting issue and the company, the company is closely related to governance and capital market allocation of resources the perfect and effective implementation of the delisting mechanism is of great significance to improve the overall quality of China's securities market.
This paper is divided into five chapters. The first chapter is the introduction, describes the background, significance, research status at home and abroad, the research purpose and research methods; the second chapter is an overview of the delisting system, introduces the development of the delisting system in China and abroad in the same market delisting system. Compared; the third chapter is the analysis of China's listed companies delisting faces in the new period. Effects of the delisting of the market environment, the company's main influence delisting and the interests of small shareholders, a typical case of *ST *ST Powerise glory and two companies retreat city were analyzed; the fourth chapter puts forward relevant suggestions to solve at the present stage China's listed companies delisting problems; the fifth chapter is the conclusion and limitations.
