【摘要】：股權(quán)眾籌作為一種"大眾、小額、公開"的創(chuàng)新融資模式,必然伴隨著金融風(fēng)險,其中信息不對稱所帶來的信任危機(jī)尤為明顯,且對股權(quán)眾籌的立法和監(jiān)管仍存在空白,亟待制定出符合我國實際需要的監(jiān)管制度。筆者厘清股權(quán)眾籌的概念、特殊性以及風(fēng)險,認(rèn)為股權(quán)眾籌符合群體智慧理論的多樣性、獨立性、分散與分權(quán)化以及集中化特征,依托群體智慧理論,通過建立開放、中立的融資平臺交流渠道可以促進(jìn)理性的集體行動、展現(xiàn)社會媒體信息以及眾籌平臺自律,從而解決信任危機(jī)問題。在此基礎(chǔ)上,筆者提出了構(gòu)建開放性股權(quán)交流平臺、完善與開放性股權(quán)眾籌平臺相適應(yīng)的交流渠道和制定與之相匹配的監(jiān)管制度等具體舉措。
[Abstract]:As a kind of "public, small, open" innovative financing mode, crowdfunding is bound to be accompanied by financial risks, among which the trust crisis caused by asymmetric information is particularly obvious. And there is still a gap in the legislation and supervision of stock crowdfunding, it is urgent to formulate a regulatory system that meets the actual needs of our country. The author clarifies the concept, particularity and risk of stock crowdfunding. It is believed that the stock rights crowdfunding accords with the diversity, independence, decentralization and centralization of the theory of group intelligence, and relies on the theory of group intelligence, through the establishment of openness. Neutral financing platform communication channel can promote rational collective action, show social media information and self-discipline of crowdfunding platform, so as to solve the trust crisis. The author puts forward some concrete measures, such as constructing the open equity exchange platform, perfecting the communication channel suitable to the open equity crowdfunding platform, and formulating the corresponding regulatory system.
