【摘要】：系統(tǒng)重要性銀行(下稱SIBs)的負(fù)外部性主要表現(xiàn)在系統(tǒng)性風(fēng)險在SIBs之間傳遞,進(jìn)而影響金融體系和實體經(jīng)濟(jì)。從法學(xué)角度來看,市場失靈、政府失靈、政府規(guī)制是外部性法學(xué)的邏輯起點;外部性的本質(zhì)是權(quán)益沖突,而這種權(quán)益沖突體現(xiàn)了對無交易關(guān)聯(lián)的經(jīng)濟(jì)行為人的侵害;在法學(xué)領(lǐng)域,財產(chǎn)法、合同法、侵權(quán)法、公法等都為外部性問題的解決提供了法律基礎(chǔ);基于法律經(jīng)濟(jì)學(xué),解決SIBs負(fù)外部性問題的關(guān)鍵是建立事前和事后解決機(jī)制,事前機(jī)制的核心在于界定SIBs與利益相關(guān)方的權(quán)利和義務(wù),事后機(jī)制的重點則在于完善SIBs危機(jī)處置及退出機(jī)制、完善權(quán)利訴訟制度等。
[Abstract]:The negative externalities of systemically important banks (hereinafter referred to as SIBs) are mainly reflected in the transmission of systemic risk between SIBs, which then affects the financial system and the real economy. From the point of view of law, market failure, government regulation is the logical starting point of external law, the essence of externality is the conflict of rights and interests, and this conflict of rights and interests reflects the infringement on the economic actors without transaction connection. In the field of law, property law, contract law, tort law, public law and so on all provide the legal basis for solving the problem of externality, and based on the law and economics, the key to solve the problem of negative externality of SIBs is to establish the prior and afterwards settlement mechanism. The core of the ex ante mechanism is to define the rights and obligations of SIBs and the stakeholders. The emphasis of the ex post mechanism is to perfect the SIBs crisis disposal and exit mechanism and the right litigation system.
