【摘要】：TPP第17章"國(guó)有企業(yè)和特許壟斷"中針對(duì)國(guó)有企業(yè)規(guī)定了一系列高標(biāo)準(zhǔn)的義務(wù)要求,旨在營(yíng)造國(guó)有企業(yè)和私營(yíng)企業(yè)公平競(jìng)爭(zhēng)的環(huán)境。其中,第17.1條規(guī)定了何種企業(yè)應(yīng)界定為受TPP競(jìng)爭(zhēng)中立規(guī)則約束的對(duì)象。一旦中國(guó)加入TPP這類(lèi)包含競(jìng)爭(zhēng)中立規(guī)則的協(xié)定,確實(shí)會(huì)給中國(guó)帶來(lái)一定的挑戰(zhàn),前提是有大量的企業(yè)屬于TPP語(yǔ)境下的國(guó)有企業(yè)。本文結(jié)合近年中國(guó)的A股上市公司數(shù)據(jù),分析其與TPP國(guó)企界定標(biāo)準(zhǔn)的契合度,考察將會(huì)有多少企業(yè)受到TPP競(jìng)爭(zhēng)中立規(guī)則的約束。研究表明,TPP國(guó)企界定的"股權(quán)標(biāo)準(zhǔn)"、"表決權(quán)標(biāo)準(zhǔn)"和"任命權(quán)標(biāo)準(zhǔn)"的獨(dú)立性并未得到體現(xiàn),越來(lái)越少的中國(guó)上市公司符合TPP國(guó)企界定的標(biāo)準(zhǔn)。
[Abstract]:Chapter 17 of TPP "State-owned Enterprises and franchise Monopoly" stipulates a series of high standard obligation requirements for state-owned enterprises, aiming at creating a fair competition environment between state-owned enterprises and private enterprises. Article 17.1 defines which enterprises should be bound by the rules in the TPP competition. Once China joins the TPP such agreements which contain the rules of competition, it will indeed bring some challenges to China. The premise is that a large number of enterprises are state-owned enterprises in the context of TPP. Based on the data of A-share listed companies in China in recent years, this paper analyzes the degree of conformity with the definition standard of TPP state-owned enterprises. The study shows that the independence of the "equity standard", "voting standard" and "appointment power standard" defined by TPP state-owned enterprises are not reflected. Fewer and fewer Chinese listed companies meet the criteria defined by the TPP state-owned enterprises.
