【摘要】：加快建設(shè)和發(fā)展我國(guó)多層次資本市場(chǎng)是大勢(shì)所趨，我國(guó)多層次資本市場(chǎng)包括兩大塊，即場(chǎng)內(nèi)交易市場(chǎng)和場(chǎng)外交易市場(chǎng)，其中場(chǎng)外交易市場(chǎng)是我國(guó)多層次資本市場(chǎng)建設(shè)體系中的重要組成部分。隨著“新三板”擴(kuò)容至全國(guó)，我國(guó)場(chǎng)外交易市場(chǎng)的整體框架也基本搭建完成。在此背景下，為了進(jìn)一步推動(dòng)我國(guó)場(chǎng)外交易市場(chǎng)的健康、繁榮、穩(wěn)定發(fā)展，通過對(duì)我國(guó)場(chǎng)外交易市場(chǎng)的發(fā)展現(xiàn)狀加以分析、梳理，同時(shí)在借鑒國(guó)內(nèi)外成熟國(guó)家和地區(qū)發(fā)展場(chǎng)外交易市場(chǎng)的經(jīng)驗(yàn)的基礎(chǔ)上，，進(jìn)而提出相應(yīng)的我國(guó)的場(chǎng)外交易市場(chǎng)制度設(shè)計(jì)，則顯得十分必要和意義重大。 本文第一部分，將主要從選題背景、目的和意義，研究綜述，論文的研究方法及創(chuàng)新點(diǎn)、技術(shù)路線等方面切入主題；本文第二部分，主要是進(jìn)行場(chǎng)外交易市場(chǎng)的界定和發(fā)展我國(guó)場(chǎng)外交易市場(chǎng)的必要性分析，重點(diǎn)闡釋了我國(guó)場(chǎng)外交易市場(chǎng)的內(nèi)涵以及為什么要發(fā)展場(chǎng)外交易市場(chǎng)。 本文第三部分，主要分析了我國(guó)場(chǎng)外交易市場(chǎng)發(fā)展現(xiàn)狀和存在的問題，主要是對(duì)我國(guó)場(chǎng)外交易市場(chǎng)的四個(gè)組成部分分別闡明；本文第四部分，主要分析了國(guó)際成熟的場(chǎng)外交易市場(chǎng)發(fā)展的經(jīng)驗(yàn)及對(duì)我國(guó)的啟示，主要摘取了美國(guó)、英國(guó)、臺(tái)灣三個(gè)比較成熟的樣板加以舉例分析； 在本文第五部分，將提出我國(guó)場(chǎng)外交易市場(chǎng)的制度設(shè)計(jì)，包括頂層制度設(shè)計(jì)、運(yùn)行制度設(shè)計(jì)、監(jiān)管制度設(shè)計(jì)、輔助支持制度設(shè)計(jì)四個(gè)部分；最后，本文第六部分，通過以上分析得出研究的結(jié)論，提出了深度思考后的構(gòu)建我國(guó)場(chǎng)外交易市場(chǎng)的協(xié)調(diào)發(fā)展模式。
[Abstract]:Speeding up the construction and development of our country's multi-level capital market is the trend of the times. China's multi-level capital market consists of two major parts: the OTC market and the OTC market. OTC market is an important part of the multi-level capital market construction system in China. With the expansion of the new three-board to the whole country, the whole frame of our over-the-counter market has been built. In this context, in order to further promote the healthy, prosperous and stable development of China's over-the-counter market, through the analysis of the current situation of the development of China's over-the-counter market, At the same time, on the basis of the experience of the mature countries and regions at home and abroad to develop the over-the-counter market, it is very necessary and significant to put forward the corresponding design of the over-the-counter market system of our country. The first part of this paper will focus on the background, purpose and significance of the topic, research review, research methods and innovations, technical routes, etc. The second part of this paper, This paper mainly analyzes the definition of OTC market and the necessity of developing OTC market in China, and explains the connotation of OTC market and why we should develop OTC market. The third part of this paper, mainly analyzes the current situation and existing problems of the over-the-counter market in China, mainly expounds the four components of the over-the-counter market in China. This paper mainly analyzes the experience of the development of the international mature over-the-counter market and its enlightenment to our country, and mainly takes three more mature models, the United States, the United Kingdom and Taiwan, to give examples to analyze them; in the fifth part of this paper, It will put forward the system design of our country's over-the-counter market, including the top-level system design, the operation system design, the supervision system design, the auxiliary support system design. Finally, the sixth part of this paper, through the above analysis, draws the conclusion of the research. This paper puts forward the coordinated development mode of constructing our country's over-the-counter market after deep thinking.
