【摘要】：建設(shè)一個多層次的資本市場,滿足不同種類、風(fēng)險承受能力投資者和不同發(fā)展階段的企業(yè)需求的有效銜接,是資本市場各個主體的共同愿望。場外交易市場作為資本市場的最底層市場同時也是重中之重的一層,作為市場底座承載著整個市場的健康發(fā)展的責(zé)任。場外市場經(jīng)歷了30年的發(fā)展,如今其層次已經(jīng)開始初現(xiàn),但各個板塊仍然相互獨立,缺乏有機聯(lián)系,所以本文將黨的十八大中提出的“頂層設(shè)計”理念應(yīng)用于我國場外交易市場的建設(shè)中,旨在從長遠(yuǎn)利益出發(fā),利用全局性和系統(tǒng)性的眼光建設(shè)一個完善的場外交易市場體系。本文首先梳理我國場外市場30年的發(fā)展歷程,并總結(jié)發(fā)展過程中面臨的問題;然后對于目前相對比較具有代表意義的場外市場新三板和天津股權(quán)交易所進(jìn)行多維度的比較,提出我國市場發(fā)展現(xiàn)狀中所面臨的主要問題；接下來總結(jié)了臺灣場外交易市場建設(shè)經(jīng)驗對我國場外市場建設(shè)給予寶貴的借鑒價值。最后一章提出了我國場外市場體系建設(shè)的頂層設(shè)計思路,分別從設(shè)計原則、框架建設(shè)、建設(shè)步驟以及包括法律制度、市場準(zhǔn)入制度、交易制度、監(jiān)管制度、信息披露制度和轉(zhuǎn)板制度等方面的制度建設(shè)四方面進(jìn)行闡述,提出了建設(shè)一個“2+M+N”的三層次有機聯(lián)系的多層次場外交易市場體系。
[Abstract]:To build a multi-level capital market to meet the needs of different kinds of risk bearing investors and enterprises in different stages of development is the common aspiration of all the main bodies of the capital market. As the bottom market of the capital market, the OTC market is also the most important layer. As the market base, it bears the responsibility of the healthy development of the whole market. OTC markets have been developing for 30 years, and now their levels are beginning to emerge, but each plate is still independent of each other and lacks an organic connection. Therefore, this paper applies the concept of "top level design" put forward by the 18th National Congress of the Party to the construction of our country's over-the-counter market, aiming at building a perfect over-the-counter trading market system from the long-term interests and using the overall and systematic vision. This article first combs the development course of our country's over-the-counter market for 30 years, and summarizes the problems in the development process, and then makes a multi-dimensional comparison between the new third board of the over-the-counter market and the Tianjin Stock Exchange, which has the representative significance at present. This paper puts forward the main problems in the development of China's market, and then summarizes the experience of the construction of Taiwan's over-the-counter market, which can be used as a valuable reference for the construction of China's over-the-counter market. The last chapter puts forward the top-level design ideas of over-the-counter market system construction in China, including design principles, framework construction, construction steps, including legal system, market access system, transaction system, supervision system, etc. This paper expounds the four aspects of the system construction of information disclosure system and transfer board system, and puts forward a multi-level over-the-counter market system with "2mn" three-level organic connection.
