【摘要】:隨著商業(yè)銀行個人理財業(yè)務(wù)的發(fā)展,各銀行使出渾身解數(shù)向消費者推銷理財產(chǎn)品。在此過程中,商業(yè)銀行侵犯消費者權(quán)益的事件時有發(fā)生,銀行理財產(chǎn)品消費者的知情權(quán)作為其他權(quán)利的基礎(chǔ)在我國卻并沒有很好的得到保障。為此,本文特對其進(jìn)行研究,并探究其法律保護(hù)的可行途徑。全文除引言與結(jié)語外共分四章。第一章對要研究的問題進(jìn)行界定。本文在對商業(yè)銀行理財產(chǎn)品進(jìn)行分類的基礎(chǔ)上研究各類不同的理財產(chǎn)品中商業(yè)銀行與消費者之間的法律關(guān)系,將銀行理財產(chǎn)品消費者放在金融消費者的大背景下進(jìn)行研究,分析金融消費者的概念、范圍,并找出銀行理財產(chǎn)品消費者與其他金融消費者的不同之處。并上述對理財產(chǎn)品分類研究的基礎(chǔ)上提出不同理財產(chǎn)品消費者知情權(quán)的標(biāo)準(zhǔn)。本章創(chuàng)新之處在于對銀行理財產(chǎn)品進(jìn)行分類分析,并分別建立其知情權(quán)標(biāo)準(zhǔn)。第二章研究對銀行理財產(chǎn)品消費者進(jìn)行保護(hù)的理論基礎(chǔ)。通過信息不對稱理論、有效資本市場假說、利益沖突等經(jīng)濟(jì)學(xué)理論與誠實信用原則、公平和價值等法學(xué)理論對銀行理財產(chǎn)品消費者知情權(quán)保護(hù)的必要性進(jìn)行研究。本章的創(chuàng)新之處在于將經(jīng)濟(jì)學(xué)理論與法學(xué)理論結(jié)合起來,對消費者知情權(quán)的理論基礎(chǔ)做全面分析。第三章將銀行理財產(chǎn)品消費者的保護(hù)納入金融消費者保護(hù)的框架,通過對域外一些國家關(guān)于金融消費者保護(hù)的相關(guān)法律進(jìn)行分析,了解國外金融消費者保護(hù)的先進(jìn)制度。同時,也可以對我國如今的銀行理財產(chǎn)品消費者保護(hù)進(jìn)行較好的反思和借鑒。第四章是本文的重點。本章首先對我國銀行理財產(chǎn)品消費者保護(hù)情況做了基本的描述,然后在此基礎(chǔ)上與第三章相結(jié)合,從信息披露、監(jiān)管模式、訴訟保障、非訴解決機(jī)制等多方面構(gòu)建我國完善的銀行理財產(chǎn)品消費者知情權(quán)保護(hù)模式。第三章與第四章的創(chuàng)新之處在于將域外立法狀況與我國實際情況結(jié)合起來,構(gòu)建適合我國情況的銀行理財產(chǎn)品消費者知情權(quán)保護(hù)制度。
[Abstract]:With the development of personal finance business in commercial banks, banks try their best to sell financial products to consumers. In this process, the commercial bank encroaches on the consumer's rights and interests from time to time, but the consumer's right to know of the bank's financial products is not well protected in our country as the basis of other rights. For this reason, this article specially carries on the research to it, and probes into its legal protection feasible way. In addition to the introduction and conclusion, the full text is divided into four chapters. The first chapter defines the problems to be studied. On the basis of classifying the financial products of commercial banks, this paper studies the legal relationship between commercial banks and consumers in different kinds of financial products, and puts the consumers of banking financial products under the background of financial consumers. This paper analyzes the concept and scope of financial consumers, and finds out the differences between consumers of banking financial products and other financial consumers. On the basis of the above research on the classification of financial products, the standard of consumer's right to know of different financial products is put forward. The innovation of this chapter lies in the classification and analysis of banking financial products and the establishment of their right to know standards. The second chapter studies the theoretical basis of consumer protection of banking financial products. Based on the theory of asymmetric information, the hypothesis of effective capital market, the conflict of interest and the principle of good faith, fairness and value, this paper studies the necessity of protecting the right to know of consumers of banking financial products. The innovation of this chapter is to combine the theory of economics with the theory of law, and make a comprehensive analysis of the theoretical basis of consumers' right to know. The third chapter brings the consumer protection of banking financial products into the framework of financial consumer protection, through the analysis of the relevant laws on financial consumer protection in some foreign countries, to understand the advanced system of financial consumer protection abroad. At the same time, we can also reflect on the consumer protection of banking financial products in our country. The fourth chapter is the focus of this paper. This chapter firstly describes the situation of consumer protection of banking financial products in China, and then combines with the third chapter, from the information disclosure, regulatory model, litigation protection, Non-litigation settlement mechanism and other aspects to build a perfect banking financial products consumer's right to know protection model. The innovation of the third chapter and the fourth chapter is to combine the extraterritorial legislative situation with the actual situation of our country, and to construct the protection system of the consumer's right to know of the banking financial products which is suitable for the situation of our country.
