【摘要】：為了解決以“創(chuàng)新型、創(chuàng)業(yè)型、成長(zhǎng)型”股份公司為重點(diǎn)的中小企業(yè)融資難、融資貴的老大難問(wèn)題,推動(dòng)國(guó)家產(chǎn)業(yè)結(jié)構(gòu)調(diào)整和經(jīng)濟(jì)發(fā)展方式的轉(zhuǎn)變,激活民間投資,提高直接融資的比重,發(fā)揮市場(chǎng)在資源配置中的決定性作用,經(jīng)省級(jí)人民政府批準(zhǔn)的區(qū)域性場(chǎng)外市場(chǎng)應(yīng)運(yùn)而生。2014年,《國(guó)務(wù)院關(guān)于進(jìn)一步促進(jìn)資本市場(chǎng)健康發(fā)展的若干意見(jiàn)》(國(guó)發(fā)[2014]17號(hào))中明確指出“在清理整頓的基礎(chǔ)上,將區(qū)域性股權(quán)市場(chǎng)納入多層次資本市場(chǎng)體系。”,這為處于多層次資本市場(chǎng)塔基的區(qū)域性場(chǎng)外市場(chǎng)提供了絕佳的發(fā)展機(jī)遇。本文著眼于區(qū)域性場(chǎng)外市場(chǎng)建設(shè),對(duì)其發(fā)展現(xiàn)狀進(jìn)行分析,對(duì)有代表性的區(qū)域性場(chǎng)外市場(chǎng)的運(yùn)行進(jìn)行了比較,指出了我國(guó)區(qū)域性場(chǎng)外市場(chǎng)存在諸如法律法規(guī)依據(jù)不明確、監(jiān)督管理不到位、市場(chǎng)定位和功能不清晰和缺乏活力等方面的問(wèn)題。同時(shí)提出了相應(yīng)的解決對(duì)策,包括完善法律規(guī)定,明確功能定位、加強(qiáng)頂層設(shè)計(jì),組建統(tǒng)一監(jiān)管體系、構(gòu)建科學(xué)的多層次市場(chǎng)格局、鼓勵(lì)市場(chǎng)功能發(fā)揮良好的市場(chǎng)先行先試等措施。通過(guò)發(fā)揮機(jī)制作用,引入市場(chǎng)競(jìng)爭(zhēng)的理念,充分發(fā)揮市場(chǎng)功能,助力中小企業(yè)健康、快速和可持續(xù)發(fā)展。
[Abstract]:In order to solve the problem of difficult financing and expensive financing for small and medium-sized enterprises with the emphasis on "innovative, entrepreneurial, and growth-type" joint-stock companies, to promote the adjustment of the national industrial structure and the transformation of the mode of economic development, and to activate private investment. Increase the proportion of direct financing, give play to the decisive role of the market in the allocation of resources, The regional over-the-counter market approved by the provincial people's government came into being at the historic moment. On 2014, the State Council's opinions on further promoting the healthy Development of the Capital Market (Guofa [2014] 17) clearly pointed out that "on the basis of cleaning up and rectifying," Bring the regional equity market into the multi-level capital market system. "this provides an excellent opportunity for the development of the regional over-the-counter market at the base of the multi-level capital market." this paper focuses on the construction of the regional over-the-counter market. This paper analyzes the present situation of its development, compares the operation of the representative regional over-the-counter market, and points out that the regional over-the-counter market in our country has some problems such as unclear laws and regulations, inadequate supervision and management. At the same time, it puts forward corresponding solutions, including perfecting the legal regulations, clarifying the functional orientation, strengthening the top-level design, and setting up a unified supervision system. Constructing a scientific multi-level market pattern, encouraging the market function to play a good market first first trial and other measures, through exerting the mechanism function, introducing the market competition idea, giving full play to the market function, helping the small and medium-sized enterprises to be healthy, Rapid and sustainable development.
