【摘要】：創(chuàng)業(yè)板市場做為我國多層次資本市場的組成部分，為創(chuàng)新型中小企業(yè)的融資提供了籌資平臺。自2009年我國創(chuàng)業(yè)板市場建立，時至今日已經(jīng)兩年有余，創(chuàng)業(yè)板在這兩年的運行中既取得了一定的成功，也暴露出了許多不足。成熟的創(chuàng)業(yè)板市場的發(fā)展經(jīng)驗告訴我們，一國的創(chuàng)業(yè)板要想運作良好，必須要有完善的退市制度，因此，退市制度對于創(chuàng)業(yè)板市場的良性發(fā)展舉足輕重。我國創(chuàng)業(yè)板市場自建立之初，盡管在《深圳證券交易所創(chuàng)業(yè)板股票上市規(guī)則》中對退市方面有所規(guī)定，但仍然存在種種問題，影響了創(chuàng)業(yè)板市場的健康發(fā)展。經(jīng)歷兩年的醞釀，終于在2011年11月28日發(fā)布《關(guān)于完善創(chuàng)業(yè)板退市制度的方案（征求意見稿）》，，開始了創(chuàng)業(yè)板退市制度完善的步伐。不過，該征求意見稿也仍有需要進(jìn)一步完善的地方。本文在界定創(chuàng)業(yè)板和創(chuàng)業(yè)板退市制度的基礎(chǔ)上，參考海外比較成熟的創(chuàng)業(yè)板市場的經(jīng)驗，對我國創(chuàng)業(yè)板退市的相關(guān)規(guī)定，包括《關(guān)于完善創(chuàng)業(yè)板退市制度的方案（征求意見稿）》的內(nèi)容進(jìn)行評析，并相應(yīng)提出了完善我國創(chuàng)業(yè)板退市制度的對策建議。 文章由引言、正文、結(jié)束語三部分構(gòu)成。 引言部分說明了本文的選題的背景，闡述了文章的論證思路，并進(jìn)而說明了本文的研究方法和創(chuàng)新之處以及文獻(xiàn)綜述。 正文部分分為四章：第一章介紹了創(chuàng)業(yè)板市場及其退市制度的基礎(chǔ)理論。第二章考察了世界上成熟的創(chuàng)業(yè)板市場的退市制度，主要包括納斯達(dá)克市場、英國另類投資市場和香港創(chuàng)業(yè)板市場，并對其進(jìn)行了總體評價。第三章分析了我國創(chuàng)業(yè)板市場退市制度及其存在的不足。第四章針對我國創(chuàng)業(yè)板市場存在的問題，借鑒成熟的創(chuàng)業(yè)板市場的經(jīng)驗，提出了具體完善的建議。 結(jié)束語部分對本文進(jìn)行了總結(jié)，并對未來進(jìn)行了展望。
[Abstract]:The GEM market as part of the multi-level capital market in China, provides financing platform for innovative financing of small and medium-sized enterprises. The establishment of the GEM market in China since 2009, it has been more than two years, the gem has achieved some success in the two years of operation, also exposed many deficiencies. The experience of the development of the GEM market mature tells us that the gem a country to work well, must have perfect delisting system, therefore, the delisting system for the benign development of the GEM market is very important. The GEM market in China since the beginning of the establishment, despite the provisions of the delisting in the "Shenzhen stock exchange venture in listing rules, but there are still many problems affecting the healthy development of the GEM market. After two years of deliberation, finally released" on improving the delisting system in November 28, 2011 The program (Draft) ", started the gem delisting system perfect pace. However, the draft also still needs further improvement. Based on the definition of the gem and gem delisting system on the overseas mature gem market experience, the relevant provisions of me gem delisting, including" on improving the delisting system of gem program (draft) "content analysis, and puts forward some corresponding countermeasures and suggestions to improve the delisting system of gem in our country.
The article is composed of three parts: introduction, text, and concluding remarks.
The introduction explains the background of this topic, expounds the way of argumentation, and further illustrates the research methods and innovations, as well as the literature review.
The text part is divided into four chapters: the first chapter introduces the basic theory of gem and delisting system. The second chapter examines the delisting system in the world. The mature gem market, including the Nasdaq stock market, the investment market offbeat and Hongkong gem market, and has carried on the overall evaluation. The third chapter analyzes the shortcomings the delisting system of gem in China and its existence. In the fourth chapter, aiming at the existing problems of China's GEM market, referring to the GEM market mature experience, put forward specific recommendations for improvement.
The concluding part is a summary of this article, and the future is prospected.
