【摘要】：企業(yè)并購重組不但可以加速經(jīng)濟發(fā)展,優(yōu)化企業(yè)布局,健全資本市場流動機制,還可以成為許多企業(yè)完成飛躍式發(fā)展,實現(xiàn)宏偉目標的主要途徑和戰(zhàn)略。企業(yè)通過并購重組可以迅速擴大企業(yè)的經(jīng)濟效益,在財務(wù)、人力和管理等方面得到協(xié)同,使得企業(yè)在多元化的同時完成企業(yè)發(fā)展大計。本文借鑒了國內(nèi)外學(xué)者關(guān)于企業(yè)并購重組方向的學(xué)術(shù)研究,運用了資本市場企業(yè)并購重組的相關(guān)理論,并引入中國平安并購深發(fā)展的案例,據(jù)此總結(jié)出我國資本市場企業(yè)并購重組的一些啟示,最后又分別從政府和資本市場企業(yè)的角度,對我國資本市場企業(yè)的并購重組的改革思路進行了歸納和分析,為以后的企業(yè)并購重組工作奠定了良好基礎(chǔ)。
[Abstract]:M & A can not only accelerate the economic development, optimize the enterprise layout, the flow mechanism of sound capital market, many enterprises can also become a complete leap forward development, main ways and strategies to achieve the goal of the enterprise. Through mergers and acquisitions can rapidly expand the economic benefits of the enterprise, in the financial, cooperative manpower and management, make the enterprise complete the enterprise development meanwhile. This paper draws lessons from the domestic and foreign scholars on the academic direction of corporate mergers and acquisitions, mergers and acquisitions theory of the capital market of the enterprise, and the introduction of Chinese ping an acquisition of Shenzhen development case, summarized some enlightenment after the merger and acquisition of China's capital market, and finally from the government capital market and enterprise's angle, reform of enterprise of China's capital market mergers and acquisitions are summarized and analyzed, in order to The post merger and reorganization of enterprises has laid a good foundation.
