【摘要】：深圳證券交易所自2004年成立中小企業(yè)板塊以來(lái)，在該板塊上市的公司數(shù)量增長(zhǎng)非常迅速。但是與主板相比，在中小板上市的公司規(guī)模相對(duì)較小、運(yùn)營(yíng)風(fēng)險(xiǎn)較大，特別是公司管理層和外部投資者之間存在著信息不對(duì)稱(chēng)的問(wèn)題，導(dǎo)致投資者可能無(wú)法獲得準(zhǔn)確的信息來(lái)進(jìn)行投資決策，這就使得投資者對(duì)在中小板市場(chǎng)投資存在一定的擔(dān)憂，從而一定程度上影響我國(guó)中小板市場(chǎng)的發(fā)展。因此，提高中小板上市公司信息披露的完整性，使得投資者獲得更多、更詳細(xì)的信息，是消除投資者擔(dān)憂、促進(jìn)中小板市場(chǎng)發(fā)展的一個(gè)重要方式。 本文主要將目前在中小板上市公司中使用的XBRL分類(lèi)標(biāo)準(zhǔn)分別作為研究中小板上市公司信息披露完整性程度的“工具”和提高中小板上市公司信息披露完整性的“手段”。首先，采用規(guī)范研究法，將XBRL分類(lèi)標(biāo)準(zhǔn)制定的理論基礎(chǔ)和中小板上市公司信息披露的內(nèi)容進(jìn)行梳理。然后，采用比較研究和實(shí)證研究相結(jié)合的方法，將XBRL分類(lèi)標(biāo)準(zhǔn)與中小板上市公司實(shí)際披露的信息元素進(jìn)行匹配，找出二者存在的差異性，并將得到的匹配結(jié)果與樣本公司對(duì)應(yīng)年度的信息披露評(píng)價(jià)等級(jí)進(jìn)行相關(guān)性分析，從而研究XBRL分類(lèi)標(biāo)準(zhǔn)在中小板上市公司中的適用性，以及需要改進(jìn)之處；進(jìn)一步將中小板上市公司信息披露的不完整程度和可能影響中小板上市公司信息披露完整性的因素進(jìn)行多元回歸分析，找出對(duì)中小板上市公司的信息披露完整性存在顯著影響的因素。研究發(fā)現(xiàn)，（1）目前的XBRL分類(lèi)標(biāo)準(zhǔn)能夠基本適用中小板市場(chǎng)信息披露的要求，但是有些信息元素定義不夠全面，仍需要加以改進(jìn)；（2）我國(guó)中小板上市公司信息披露的完整性情況不是很好，公司的規(guī)模、大股東持股比例和董事會(huì)中獨(dú)立董事所占的比例能夠顯著的影響中小板上市公司信息披露的完整性。最后，，提出提高我國(guó)中小板上市公司信息披露完整性的對(duì)策，認(rèn)為我國(guó)需要在改進(jìn)目前的信息披露評(píng)價(jià)等級(jí)制度、完善法人治理結(jié)構(gòu)、進(jìn)一步發(fā)揮獨(dú)立董事在董事會(huì)中作用和加強(qiáng)對(duì)中小板上市公司信息披露的監(jiān)管、完善XBRL分類(lèi)標(biāo)準(zhǔn)元素定義五個(gè)方面加以努力。
[Abstract]:The Shenzhen Stock Exchange since 2004 since the establishment of small and medium enterprise board, the growth in the number of listed companies very quickly. But compared with the motherboard, in the small board listed companies are relatively small, operation risk, especially the management of the company and external investors exist the problem of asymmetric information, investors may be unable to obtain accurate result the information to make investment decisions, which makes investors to have some concerns in the small and medium-sized market investment, the development of China's small and medium-sized board market to a certain extent. Therefore, the integrity of the information disclosure of listed companies "senior high school, so that investors get more and more detailed information is to eliminate the concerns of investors and a an important way to promote the development of small and medium-sized board market.
In this paper, XBRL classification criteria currently used in the listed companies in SME board are used as information of the SME board listed companies to disclose the integrity degree of "tools" and improve the SME board information disclosure of listed companies integrity "means". Firstly, using normative research method, theoretical basis of information disclosure standards and classification XBRL small and medium sized listed companies to sort out the contents. Then, using the method of comparative study and empirical research, by matching the information elements of the XBRL classification standard and the actual disclosure of Listed Companies in the SME board, to find out the differences between the two, and will get the matching results and the corresponding annual Sample Firms information disclosure evaluation rank correlation in order to study the applicability of XBRL classification standards of Listed Companies in the SME board, and needs to be improved; the small board listed company Incomplete information disclosure and the degree of our small and medium-sized board may affect the integrity of the information disclosure of listed companies factors by multiple regression analysis, find out the factors of the SME board information disclosure of listed companies has significant impact on integrity. The study found that (1) XBRL current classification can basically applicable to small and medium-sized board market information disclosure requirements. But some of the information element definition is not comprehensive enough, still need to be improved; (2) the information disclosure of Listed Companies in China's SME Board's integrity is not very good, the size of the company, shareholders and the board of directors in the proportion of independent directors can significantly affect the integrity of the SME board information disclosure of listed companies. Finally, put forward to improve the listed companies in China's SME board information disclosure measures the integrity of that China needs improvements in the hierarchy evaluation the current information disclosure, improve the corporate governance The structure will further play the role of independent directors in the board of directors and strengthen the supervision of information disclosure of small and medium-sized listed companies, and improve the definition of standard elements of XBRL in five aspects.
