南方水泥有限公司并購的效應(yīng)研究

【摘要】:目前,我國水泥行業(yè)普遍存在產(chǎn)能過剩、落后產(chǎn)能淘汰難度大以及中小企業(yè)多而散的局面,大量水泥企業(yè)為了改善產(chǎn)業(yè)結(jié)構(gòu),提高行業(yè)利潤,相繼開展并購重組行動。雖然在這并購潮中,大部分中小企業(yè)不顧自身實力,盲目并購擴張,致使最終破產(chǎn),但也不缺乏成功案例,南方水泥有限公司就是其中之一。研究南方水泥的并購行為,對其他水泥企業(yè)實施并購行為具有指導(dǎo)意義,能夠提供借鑒經(jīng)驗,指明前進方向。 在研究國內(nèi)外文獻、總結(jié)并購的基本理論和方法的基礎(chǔ)上,通過采用案例分析法,以南方水泥2007年以來實行的大規(guī)?鐓^(qū)域并購行為為研究對象,在回顧南方水泥并購背景、并購動因以及一系列橫向及縱向并購過程的基礎(chǔ)上,從企業(yè)經(jīng)濟效益提升以及行業(yè)地位提升的角度對其大規(guī)模實施兼并重組取得的效應(yīng)進行分析,并重點對其在規(guī)模經(jīng)濟、價格改善、稅收優(yōu)惠、市場份額、產(chǎn)業(yè)集中度以及產(chǎn)能比重上取得的效應(yīng)進行探討,可以找出南方水泥在短時間內(nèi)能夠取得巨大成功、產(chǎn)生正面效應(yīng)的關(guān)鍵因素所在,,以及降低企業(yè)并購負面效應(yīng)的改進方法,并能借此來預(yù)測整個水泥行業(yè)未來的發(fā)展趨勢。 在水泥行業(yè)混亂的并購局面下,有必要通過對龍頭企業(yè)南方水泥有限公司并購效應(yīng)的研究,為其他正在實施并購或者未來有并購計劃的水泥行業(yè)提供參考,使其能借鑒南方水泥的并購經(jīng)驗,參考南方水泥并購成功的因素,以避免在水泥行業(yè)并購潮中迷失方向。
[Abstract]:At present, there is overcapacity in cement industry in our country, it is difficult to eliminate backward production capacity, and there are many small and medium-sized enterprises. In order to improve the industrial structure and increase the industry profit, a large number of cement enterprises have launched merger and acquisition and reorganization actions one after another.Although in this merger tide, most small and medium-sized enterprises ignore their own strength, blindly M & A expansion, resulting in final bankruptcy, but there is no lack of successful cases, Southern cement Co., Ltd. is one of them.The study of M & A behavior of Southern cement has guiding significance for other cement enterprises to implement M & A. It can provide reference experience and point out the way forward.On the basis of studying domestic and foreign literature, summarizing the basic theories and methods of M & A, and taking the large-scale cross-regional M & A behavior implemented since 2007 as the research object, this paper reviews the background of M & A in Southern China.On the basis of M & A motivation and a series of horizontal and vertical M & A processes, this paper analyzes the effects of large-scale merger and reorganization from the angle of improving the economic benefits of enterprises and upgrading their status in the industry, and focuses on the economies of scale.By discussing the effects of price improvement, tax incentives, market share, industrial concentration, and the proportion of production capacity, we can find out the key factors for the great success and positive effect of Southern cement in a short period of time.The improvement method of reducing the negative effect of M & A can be used to predict the future development trend of the whole cement industry.Under the chaotic situation of M & A in cement industry, it is necessary to study the M & A effect of Nanfang cement Co., Ltd., a leading enterprise, in order to provide reference for other cement industries that are carrying out mergers and acquisitions or have plans for M & A in the future.So that it can learn from the experiences of M & A of Southern cement and the factors of success of M & A in Southern China so as to avoid losing its direction in the tide of M & A in cement industry.
