【摘要】：一切貿(mào)易的展開,都離不開合同,國(guó)際貿(mào)易更是如此。而如今,隨著人類社會(huì)進(jìn)入信息網(wǎng)絡(luò)時(shí)代,電子合同越來越普及,這對(duì)于分處兩國(guó)的當(dāng)事人來說,更是雪中送炭。然而由于立法的滯后和信息網(wǎng)絡(luò)的高速發(fā)展,國(guó)際貿(mào)易電子合同欺詐現(xiàn)象頻頻出現(xiàn),對(duì)于市場(chǎng)的穩(wěn)定和國(guó)家的發(fā)展產(chǎn)生了負(fù)面影響,因此,我們需要對(duì)國(guó)際貿(mào)易電子合同的法律問題進(jìn)行研究。除引言和結(jié)論外,論文主體由四個(gè)部分組成。第一部分是對(duì)國(guó)際貿(mào)易電子合同欺詐的概述,首先介紹了國(guó)際貿(mào)易電子合同與國(guó)際貿(mào)易電子合同欺詐的基本概念,其后介紹了國(guó)際貿(mào)易電子合同欺詐具體表現(xiàn)形式,通過結(jié)合具體案例,分別從合同主體、合同條款和合同履行三個(gè)方面闡釋。第二部分介紹了域外電子合同的立法及啟示,分別對(duì)聯(lián)合國(guó)、歐盟、美國(guó)、新加坡和日本在防范電子合同欺詐方面的立法進(jìn)行了闡述,之后總結(jié)出幾點(diǎn)立法啟示。第三部分介紹了我國(guó)在電子合同方面的立法現(xiàn)狀及存在的問題。第四部分,從三個(gè)方面提出完善我國(guó)電子合同立法的建議,分別針對(duì)國(guó)際貿(mào)易電子合同主體欺詐,條款欺詐和履行欺詐進(jìn)行立法規(guī)制,全面提出解決方案,以防范國(guó)際貿(mào)易中通過電子合同進(jìn)行欺詐的現(xiàn)象,進(jìn)而營(yíng)造一個(gè)公平公正的國(guó)際交易環(huán)境。
[Abstract]:The development of all trade, all inseparable from the contract, international trade is even more so. Now, with the human society entering the information network era, electronic contracts are becoming more and more popular, which is more and more timely for the parties in the two countries. However, due to the lag of legislation and the rapid development of information network, the phenomenon of electronic contract fraud in international trade appears frequently, which has a negative impact on the stability of the market and the development of the country. We need to study the legal issues of electronic contracts in international trade. In addition to the introduction and conclusions, the main body of the paper consists of four parts. The first part is an overview of international trade electronic contract fraud. Firstly, it introduces the basic concepts of international trade electronic contract and international trade electronic contract fraud, and then introduces the specific manifestations of international trade electronic contract fraud. Through the combination of specific cases, respectively from the contract subject, contract terms and contract performance three aspects. The second part introduces the legislation and enlightenment of foreign electronic contracts, respectively, the United Nations, the European Union, the United States, Singapore and Japan in the prevention of electronic contract fraud legislation, and then summed up a few legislative inspiration. The third part introduces the legislation status and existing problems of electronic contract in our country. In the fourth part, the author puts forward three suggestions to perfect the legislation of electronic contract in our country, including the fraud of the subject of international trade electronic contract, the fraud of clause and the fraud of performance, and puts forward the solution to the problem in an all-round way. In order to prevent the phenomenon of fraud through electronic contracts in international trade, and create a fair and just international trading environment.
