【摘要】：本文以民辦高校章程為研究對(duì)象,指出在維護(hù)法人治理秩序方面,章程的影響和存在的問題,采用理論和實(shí)踐分析的研究方法,借鑒國內(nèi)立法原則和國外私立高校章程建設(shè)經(jīng)驗(yàn),提出制定和完善我國民辦高校章程的建議。本文首先從明確民辦高校章程的涵義和特征出發(fā),考察了國外大學(xué)章程與國內(nèi)公立大學(xué)章程,明確了民辦高校章程的法律地位;其次,分析了民辦高校法人治理的現(xiàn)狀及問題成因,論述了民辦高校法人治理與章程的關(guān)系,并從法人治理的角度指出章程在制定、執(zhí)行及監(jiān)督方面存在的問題;最后,本文從三個(gè)方面提出完善建議:一是以建立現(xiàn)代大學(xué)制度為目標(biāo),依合法、自治、程序原則制定章程,二是選擇科學(xué)合理的法人治理模式以充分發(fā)揮章程實(shí)效,三是形成全面、多元的監(jiān)督機(jī)制保證章程實(shí)施。
[Abstract]:This paper takes the charter of private colleges and universities as the research object, points out the influence of the constitution and the existing problems in maintaining the order of corporate governance, and adopts the research methods of theoretical and practical analysis. Based on the principles of domestic legislation and the experience of the constitution construction of foreign private colleges and universities, this paper puts forward some suggestions for making and perfecting the constitution of private colleges and universities in our country. In this paper, first of all, from the point of defining the meaning and characteristics of the charter of private colleges and universities, we investigate the charter of foreign universities and the articles of association of public universities in China, and clarify the legal status of the charter of private colleges and universities. This paper analyzes the present situation and causes of the legal person governance in private colleges and universities, discusses the relationship between the legal person governance and the articles of association of private colleges and universities, and points out the problems existing in the formulation, implementation and supervision of the articles of association from the point of view of the legal person governance. This paper puts forward some suggestions from three aspects: one is to set up the modern university system, the other is to make the constitution according to the principles of legality, autonomy and procedure; second, to choose a scientific and reasonable model of corporate governance to give full play to the effectiveness of the articles of association; and third, to form a comprehensive system. A pluralistic supervisory mechanism ensures the implementation of the articles of association.
