【摘要】：我國國有企業(yè)上市的歷程，實際上是由“國有獨資”的全民所有制企業(yè)走向國有控股上市公司的過程，是由部分改制上市走向整體上市的過程。整體上市是國有企業(yè)改革深化的必經(jīng)之徑，是增強上市公司獨立性的治本之策，是解決上市公司同業(yè)競爭問題的主要途徑。整體上市是國有控股上市公司完善公司治理的必然選擇。 本文在國有企業(yè)整體上市的背景下，從資本的屬性理論、資本運營理論和資本市場功能效應(yīng)理論三個方面闡述了整體上市中的國有資本增值的理論基礎(chǔ)，，在對國有企業(yè)整體上市模式進行比較分析、并總結(jié)我國目前國有企業(yè)整體上市的基本情況的基礎(chǔ)上，運用比較分析法、事件研究法和主成分分析法對整體上市中的國有資本增值問題做了不同層面的實證分析，得出了相應(yīng)的研究結(jié)論。同時對在整體上市實踐中影響國有資本增值的幾個問題進行了揭示并提出了解決處理辦法。
[Abstract]:The course of China's state-owned enterprises listed, is actually a process from "ownership of state-owned" national to the state-owned listed companies, is a part of the restructuring and listing to the overall market process. The overall market is necessary to deepen the reform of state-owned enterprises is the size of listed companies increased primarystrategy independence, is the main way to solve the problem with the competition of listed companies. The overall market is the inevitable choice of state-owned listed companies to improve corporate governance.
Based on the overall listing of state-owned enterprises under the background, from the theory of capital property, three aspects of capital operation theory and the function of capital market theory describes the theoretical basis of the overall listing of state-owned capital value, comparative analysis of state-owned enterprise listing as a whole pattern, and summary of the current basic situation of overall listing of state-owned enterprises on the basis of using the method of comparative analysis, event study method and principal component analysis of the state-owned capital appreciation of overall listing in different levels to do the empirical analysis, draw the corresponding conclusions of the study. At the same time, some problems for the influence of state-owned capital appreciation in the overall market practice is revealed and puts forward the solution treatment the way.
