【摘要】：隨著我國(guó)資本市場(chǎng)進(jìn)入了繁榮與迅速發(fā)展的重要時(shí)期,各級(jí)地方政府均已意識(shí)到加快企業(yè)改制上市是促進(jìn)企業(yè)規(guī)范治理、提高企業(yè)融資能力、加速企業(yè)快速發(fā)展、帶動(dòng)地方經(jīng)濟(jì)增長(zhǎng)、促進(jìn)區(qū)域產(chǎn)業(yè)結(jié)構(gòu)優(yōu)化的有效途徑,作為公共行政主體之一的地方政府,有能力和意愿來(lái)促進(jìn)中小企業(yè)上市。本文闡述了地方政府定義、中小企業(yè)界定以及上市要求等,結(jié)合公共管理理論的政府干預(yù)經(jīng)濟(jì)理論,以及政府服務(wù)企業(yè)上市的內(nèi)在動(dòng)力以及效果研究理論,認(rèn)為政府需要采取恰當(dāng)?shù)姆椒ê统潭葋?lái)干預(yù)經(jīng)濟(jì),但不應(yīng)該去破壞市場(chǎng)機(jī)制。全國(guó)各地均有地方政府對(duì)企業(yè)上市的扶持政策,本文在全國(guó)百?gòu)?qiáng)縣中抽查5個(gè)縣,對(duì)其典型扶持政策進(jìn)行了歸納。作為全國(guó)百?gòu)?qiáng)縣的德清縣政府,中小企業(yè)經(jīng)濟(jì)發(fā)展良好,有一批優(yōu)秀的上市公司。通過(guò)問(wèn)卷調(diào)查部分中小企業(yè),對(duì)當(dāng)前地方政府在促進(jìn)中小企業(yè)發(fā)展和促進(jìn)中小企業(yè)上市已采取的政府干預(yù)手段進(jìn)行了綜合整理,促進(jìn)中小企業(yè)上市較好典型措施包括:建立擬上市培育企業(yè)名單、舉辦專項(xiàng)培訓(xùn)會(huì)議;金融辦牽頭開(kāi)展協(xié)調(diào)會(huì),幫助企業(yè)解決問(wèn)題;推動(dòng)企業(yè)先新三板、提前規(guī)范治理;出臺(tái)上市幫扶政策、獎(jiǎng)勵(lì)上市等。政府在促進(jìn)企業(yè)上市過(guò)程中,也存在過(guò)度干預(yù)中小企業(yè)上市、對(duì)企業(yè)業(yè)績(jī)的關(guān)注遠(yuǎn)高于對(duì)內(nèi)部管理的關(guān)注以及對(duì)企業(yè)募投項(xiàng)目的專業(yè)指導(dǎo)和監(jiān)管缺乏的不足,因此本文最后建議德清縣政府服務(wù)企業(yè)上市提出四方面的建議,包括加強(qiáng)研究最新上市政策與動(dòng)向來(lái)更好地指導(dǎo)中小企業(yè)去上市,通過(guò)對(duì)企業(yè)嚴(yán)格監(jiān)管來(lái)嚴(yán)把上市第一關(guān),以及組織中小企業(yè)對(duì)內(nèi)控標(biāo)桿企業(yè)進(jìn)行學(xué)習(xí),邀請(qǐng)相關(guān)行業(yè)專家評(píng)審指導(dǎo)募投項(xiàng)目。德清縣作為擁有7家A股上市公司的強(qiáng)縣,本文對(duì)該縣政府服務(wù)中小企業(yè)上市的研究,也可以供其他區(qū)縣政府參考。
[Abstract]:As the capital market in China has entered an important period of prosperity and rapid development, local governments at all levels have realized that speeding up enterprise restructuring and listing is to promote corporate governance, improve enterprise financing capacity, and accelerate the rapid development of enterprises. As one of the main bodies of public administration, the local government has the ability and willingness to promote the listing of small and medium-sized enterprises. This paper expounds the definition of local government, the definition of small and medium-sized enterprises and the requirements of listing, the economic theory of government intervention combined with the theory of public management, and the internal motive force and effect theory of government service enterprises listing. The government needs to intervene in the economy in the right way and degree, but not to destroy the market mechanism. There are local governments' supporting policies for the listing of enterprises all over the country. This paper makes a random check of 5 counties in the top 100 counties and sums up their typical support policies. As the national 100-strong county Deqing County government, small-and medium-sized economic development, there are a number of outstanding listed companies. Based on the questionnaire survey of some small and medium-sized enterprises, this paper makes a comprehensive analysis of the government intervention measures taken by local governments to promote the development of small and medium-sized enterprises and to promote the listing of small and medium-sized enterprises. The typical measures to promote the listing of small and medium-sized enterprises include: establishing the list of enterprises to be listed and cultivating enterprises, holding special training meetings, leading by the Financial Office to carry out coordination to help enterprises solve problems, promoting enterprises to start with the new third board, and standardizing governance ahead of time; The introduction of the listing policy, reward listing, and so on. In the process of promoting the listing of enterprises, the government also excessively interferes with the listing of small and medium-sized enterprises, and pays much more attention to the performance of the enterprises than to the internal management and the lack of professional guidance and supervision on the projects of raising and investing in enterprises. Therefore, in the end, this paper suggests that Deqing government service enterprises list in four aspects, including strengthening research on the latest listing policies and trends to better guide small and medium-sized enterprises to go public, and strictly enforcing the first pass of listing through strict supervision of enterprises. As well as organizing small and medium-sized enterprises to learn from internal control benchmarking enterprises, inviting relevant industry experts to review and guide the project. Deqing County is a strong county with 7 A-share listed companies.
