優(yōu)酷并購(gòu)?fù)炼拱钢械闹R(shí)資本獲取策略研究
[Abstract]:Knowledge is the only unique resource of the enterprise. Knowledge capital is the key to the future development of the enterprise. It will gradually replace the core position of the traditional capital and become the most important capital for the survival and development of the enterprise and the acquisition of competitiveness. Knowledge capital, as the core element of enterprises, has formed a consensus. Many enterprises have taken the acquisition and accumulation of knowledge capital as a means of long-term development. M & A is an effective way to acquire knowledge capital that business needs but not own. This paper studies the acquisition strategy of knowledge capital in Tudou case of Youku M & A, and thinks that the acquisition of knowledge capital in the case is a process, which is divided into four stages: the identification of knowledge capital and the transfer of knowledge capital. On the integration of knowledge capital and the utilization of knowledge capital, this paper makes a detailed analysis of the acquisition measures taken in the four stages of knowledge capital acquisition in the case, and analyzes the effectiveness of the measures taken in each stage respectively. The acquisition strategy of knowledge capital in the case is effective, and the value of knowledge capital of Youku Tudou Company has been greatly improved. Based on this, this paper draws the enlightenment of acquisition of knowledge capital in M & A, that is, before and after the acquisition of knowledge capital, human capital, organizational capital, intellectual property capital and market capital should do a good job of due diligence in each stage of acquisition of knowledge capital. According to the characteristics of each type of knowledge capital, measures can be taken to obtain the knowledge capital.
