產(chǎn)權(quán)視角下的中國(guó)電信企業(yè)改革研究

【摘要】:1978年改革開放以來,隨著國(guó)有企業(yè)改革的進(jìn)行,我國(guó)電信企業(yè)也進(jìn)行了多次的拆分與重組,并取得了一定的效果,為我國(guó)經(jīng)濟(jì)做出了貢獻(xiàn)。但是我國(guó)電信企業(yè)在產(chǎn)權(quán)制度安排上依然存在著較多的問題:國(guó)有產(chǎn)權(quán)一股獨(dú)大,有著絕對(duì)控股的地位,產(chǎn)權(quán)主體過于單一且主體不明晰,政企不分,國(guó)有產(chǎn)權(quán)缺乏流動(dòng)性,沒有獨(dú)立自主的監(jiān)管機(jī)構(gòu),法律法規(guī)體系不健全等。這些問題造成了嚴(yán)重的后果,如:我國(guó)電信企業(yè)競(jìng)爭(zhēng)效率低,市場(chǎng)競(jìng)爭(zhēng)結(jié)構(gòu)不合理,經(jīng)營(yíng)管理效果差,運(yùn)營(yíng)機(jī)制混亂,業(yè)務(wù)員服務(wù)意識(shí)差,業(yè)務(wù)資費(fèi)過多,消費(fèi)者滿意程度低等。造成這些問題的原因有:政府的權(quán)力過大,行政性指令太強(qiáng);行業(yè)準(zhǔn)入標(biāo)準(zhǔn)高;產(chǎn)權(quán)制度安排不合理?梢哉f產(chǎn)權(quán)制度的安排直接影響到電信企業(yè)的經(jīng)營(yíng)績(jī)效,也決定了企業(yè)是否有一個(gè)良好的公司治理結(jié)構(gòu)。文章從產(chǎn)權(quán)的界定、交易費(fèi)用、外部性以及產(chǎn)權(quán)制度的作用幾個(gè)方面著手,深入分析了科斯、德姆塞茨、阿爾欽和張五常的產(chǎn)權(quán)理論。在分析我國(guó)電信企業(yè)改革的過程中,用相應(yīng)的理論進(jìn)行了產(chǎn)權(quán)解釋,并進(jìn)行了原因分析。我國(guó)電信企業(yè)經(jīng)歷了壟斷經(jīng)營(yíng)時(shí)期、引入競(jìng)爭(zhēng)時(shí)期、拆分與重組時(shí)期和3G、4G牌照發(fā)放時(shí)期。在剖析我國(guó)電信企業(yè)產(chǎn)權(quán)制度改革中的問題的基礎(chǔ)上,根據(jù)我國(guó)經(jīng)濟(jì)體制的特殊性和我國(guó)電信企業(yè)自身的特征,并借鑒英國(guó)、日本電信產(chǎn)權(quán)制度改革經(jīng)驗(yàn),指出我國(guó)電信企業(yè)產(chǎn)權(quán)制度的改革應(yīng)遵循以下方向:第一,明晰國(guó)有產(chǎn)權(quán)的主體,尋找真正的代理機(jī)構(gòu);第二,國(guó)有產(chǎn)權(quán)必須順利流通;第三,探尋產(chǎn)權(quán)多元化;第四,股權(quán)結(jié)構(gòu)要平衡合理。針對(duì)我國(guó)電信產(chǎn)業(yè)產(chǎn)權(quán)制度存在的問題,提出了以下解決對(duì)策:找專業(yè)的投資代理機(jī)構(gòu)作為國(guó)有產(chǎn)權(quán)的合格代表,實(shí)現(xiàn)所有權(quán)與經(jīng)營(yíng)權(quán)的徹底分營(yíng);建立合理有序的產(chǎn)權(quán)交易市場(chǎng),給國(guó)有企業(yè)順利流動(dòng)提供合適的場(chǎng)所;鼓勵(lì)公司員工持股,引入社會(huì)資金,豐富產(chǎn)權(quán)主體;建設(shè)合理的產(chǎn)權(quán)結(jié)構(gòu)所需要的外部環(huán)境。最終找到的比較合理的方式是,選擇國(guó)有股份低于百分之五十的相對(duì)控股模式。
[Abstract]:Since the reform and opening to the outside world in 1978, with the reform of state-owned enterprises, telecommunications enterprises in China have been split and reorganized many times, and have achieved certain results, which have contributed to the economy of our country.However, there are still many problems in the arrangement of the property right system of the telecom enterprises in our country: the state-owned property right is dominant, it has the position of absolute control, the main body of property right is too single and the subject is not clear, the government and enterprise are not separated, the state-owned property right is lack of fluidity.There is no independent regulatory body, the system of laws and regulations is not perfect, and so on.These problems have resulted in serious consequences, such as: low competitive efficiency of telecom enterprises in China, unreasonable market competition structure, poor effect of operation and management, chaotic operation mechanism, poor service consciousness of salespeople, excessive service charges,Low level of consumer satisfaction.The reasons for these problems are: the power of the government is too big, the administrative order is too strong, the industry access standard is high, and the arrangement of property right system is unreasonable.It can be said that the arrangement of property right system directly affects the management performance of telecom enterprises and determines whether the enterprises have a good corporate governance structure.From the definition of property right, transaction cost, externality and the function of property right system, this paper deeply analyzes the property right theory of Coase, Demsez, Archin and Zhang Wuchang.In the course of analyzing the reform of telecom enterprises in China, the author explains the property right with the corresponding theory, and analyzes the reasons.The telecom enterprises in our country have experienced the period of monopoly management, the period of introducing competition, the period of separation and reorganization and the period of issuing 4G license.On the basis of analyzing the problems in the reform of the property right system of the telecommunication enterprises in our country, according to the particularity of the economic system of our country and the characteristics of the telecom enterprises of our country, and drawing lessons from the experience of the reform of the property right system of the British and Japanese telecommunication enterprises,The paper points out that the reform of the property right system of telecommunication enterprises in our country should follow the following directions: first, to clarify the main body of state-owned property right and to find out the real agency; second, the state-owned property right must circulate smoothly; third, to explore the diversification of property right; fourth, to explore the diversification of property right;Equity structure should be balanced and reasonable.In view of the problems existing in the property right system of China's telecommunication industry, the following countermeasures are put forward: to find a professional investment agency as a qualified representative of state-owned property right to realize the thorough division of ownership and management rights;To establish a reasonable and orderly property rights trading market, to provide a suitable place for the smooth flow of state-owned enterprises; to encourage the company employees to hold shares, to introduce social funds, and to enrich the property rights subject; to build the external environment needed for a reasonable property rights structure.The more reasonable way to find out is to choose the relative holding mode of state-owned shares less than 50%.
