【摘要】：公司治理是現(xiàn)代企業(yè)制度的核心內容,它對于我國建立現(xiàn)代企業(yè)制度具有重要意義。隨著我國經(jīng)濟的快速發(fā)展,我國現(xiàn)有的公司治理機制暴露出各種各樣的問題,不但影響整個資本市場的健康發(fā)展,也影響到企業(yè)的發(fā)展。公司治理問題的研究受到越來越多的理論界和企業(yè)界的重視。 隨著農(nóng)業(yè)生產(chǎn)資料行業(yè)的門檻被打破,農(nóng)資行業(yè)競爭愈發(fā)激烈,作為湖南省農(nóng)資流通領域的龍頭企業(yè)的湖南湘農(nóng)農(nóng)業(yè)生產(chǎn)資料集團公司也面臨嚴峻的考驗。盡管作為非國有制的湖南湘農(nóng)農(nóng)業(yè)生產(chǎn)資料有限集團公司在改制之后明確了產(chǎn)權關系,確立了建立現(xiàn)代企業(yè)制度的原則,但改制并不徹底,股權很分散,職工的觀念較為陳舊,沒有完全理清權責關系,缺乏制衡機制,在集團化的擴張當中缺少制度性的安排,在實際的運營發(fā)展過程中遇到諸多問題。同時,由于集團公司的治理較單一公司治理更具有復雜性,公司治理的構架也隨之延伸,這就要求企業(yè)集團治理不僅要研究單個企業(yè)內的責、權、利配置問題,而且要研究集團中各企業(yè)間尤其是母子公司間的利益平衡問題。 本文通過對國內外集團治理機制基本理論的描述與研究,對比國內集團公司治理中遇到的主要問題,分析湘農(nóng)集團公司公司治理機制方面的現(xiàn)狀及影響因素,提出了對湘農(nóng)集團公司治理方案的設計思路,實施方案及保障措施,為湘農(nóng)集團公司治理機制的優(yōu)化提供了可借鑒的意義。
[Abstract]:Corporate governance is the core content of modern enterprise system, which is of great significance to the establishment of modern enterprise system in China. With the rapid development of China's economy, the existing corporate governance mechanism of our country has exposed various problems, which not only affect the healthy development of the whole capital market, but also affect the development of enterprises. The study of corporate governance has been paid more and more attention by the theoretical and business circles. With the breaking of the threshold of the agricultural means of production industry, the competition in the agricultural production industry is becoming more and more fierce. As the leading enterprise in the field of agricultural capital circulation in Hunan Province, Hunan Xiangnong Agricultural means of production Group Company is also facing a severe test. Although Hunan Xiangnong Agricultural means of production Co., Ltd., as a non-state ownership company, defined the property right relationship and established the principle of establishing modern enterprise system after the restructuring, the reform was not complete, the stock rights were scattered, and the idea of workers and staff was relatively old. There is no clear relationship between power and responsibility, lack of checks and balances, lack of institutional arrangements in the expansion of collectivization, and many problems encountered in the process of actual operation and development. At the same time, since corporate governance is more complex than that of single corporate governance, the framework of corporate governance is also extended, which requires that corporate group governance not only study the allocation of responsibilities, rights and benefits within a single enterprise. And to study the interests of the group among enterprises, especially between parent and subsidiary companies. Based on the description and research of the basic theory of the group governance mechanism at home and abroad, this paper compares the main problems encountered in the domestic group corporate governance, and analyzes the present situation and the influencing factors of the Xiangnong group corporate governance mechanism. This paper puts forward the design idea, implementation scheme and safeguard measures of the company governance scheme of Xiangnong Group, which provides a reference meaning for the optimization of the governance mechanism of Xiangnong Group Company.
