上海十三冶項目治理研究

【摘要】:伴隨著建筑市場競爭日趨激烈的趨勢,同時迫于傳統(tǒng)冶金建設行業(yè)市場萎縮的現(xiàn)實,上海十三冶不得不在繼續(xù)原有市場業(yè)務的同時,開始尋求以其它行業(yè)建筑市場為依托的市場轉型。由于企業(yè)固有的資產特性以及受轉型條件下諸多不確定性因素的影響,轉型過程中的交易成本較原有市場大為增加,轉型項目的盈利能力受到極大限制;谏虾J本哂许椖炕潭雀叩倪\營特點,項目又是企業(yè)利潤形成的源泉,因此,以上海十三冶為例,分析研究如何通過項目治理進一步降低企業(yè)交易費,提高企業(yè)獲利能力就成為本文的出發(fā)點。 本文首先對公司治理的相關理論及國內外項目治理的理論研究現(xiàn)狀作了概括性介紹,并對公司治理和項目治理的關系作了說明,在此理論基礎上,通過對上海十三冶運營特點、組織結構、結構功能、項目治理流程及現(xiàn)狀等的分析,尋求和總結目前項目治理中存在的問題,針對問題提出項目治理的改進建議,并總結得出結論,最后提出項目治理的在本公司的發(fā)展趨勢啟示。 本文第一章對選題的背景和意義作了基本介紹,第二章整篇理論敘述,分別從公司治理理論,股東理論,交易成本理論,利益相關者理論,代理理論和目前國內外項目治理理論的研究現(xiàn)狀出發(fā),闡述這些理論對公司項目治理的有效支撐性所在;第三章從公司目前項目治理的實際狀況出發(fā),列舉并分析目前存在的實際問題,從組織結構和組織功能兩個方面分析目前項目治理的不足和缺陷;第四章從第三章得出的影響因素出發(fā),從項目治理的視角總結出有針對性的問題改進建議;第五章為最后一章,得出本文研究的結論,并對項目治理在上海十三冶的未來發(fā)展提出展望和啟示。
[Abstract]:Along with the increasingly fierce competition in the construction market and the reality of the shrinking market in the traditional metallurgical construction industry, Shanghai Shansi Metallurgical Co., Ltd. has to continue its original market business at the same time. Began to seek to other industries based on the construction market transformation of the market. Due to the inherent asset characteristics of the enterprise and the influence of many uncertain factors under the transition conditions, the transaction cost in the transition process is much higher than that in the original market, and the profitability of the transformation project is greatly restricted. Based on the operation characteristics of Shanghai 13 Metallurgical Company with high degree of project, the project is the source of the profit formation of the enterprise. Therefore, taking 13 Metallurgical Company in Shanghai as an example, this paper analyzes and studies how to further reduce the transaction cost of the enterprise through project governance. To improve the profitability of enterprises becomes the starting point of this paper. In this paper, the related theories of corporate governance and the current situation of project governance research at home and abroad are introduced, and the relationship between corporate governance and project governance is explained. On the basis of this theory, the operating characteristics of Shanghai Thirteen Metallurgical Corporation are discussed. Analyzing the organization structure, structure function, project management process and current situation, seeking and summarizing the problems existing in the current project governance, putting forward some suggestions to improve the project governance, and concluding the conclusion. Finally, the project governance in the company's development trend enlightenment. The first chapter introduces the background and significance of the topic, the second chapter describes the whole theory, including corporate governance theory, shareholder theory, transaction cost theory, stakeholder theory, etc. Starting from the current research situation of agency theory and project governance theory at home and abroad, this paper expounds the effective support of these theories to corporate project governance. Chapter three sets out from the actual situation of company project governance at present. This paper enumerates and analyzes the existing practical problems, analyzes the deficiencies and defects of the current project governance from the two aspects of organizational structure and organizational function. The last chapter is the conclusion of this paper, and the prospect and inspiration to the future development of project governance in Shanghai Shansi Metallurgical Co., Ltd.
