【摘要】：在市場經(jīng)濟(jì)環(huán)境下，簽訂和履行合同貫穿著企業(yè)的所有交易行為,合同是各類市場主體參與市場運(yùn)行和競爭的起點(diǎn)和終點(diǎn)。在變幻莫測的市場活動(dòng)中，防控合同風(fēng)險(xiǎn)對企業(yè)維護(hù)合法權(quán)益、避免管理和法律風(fēng)險(xiǎn)具有重大的意義。但是，國內(nèi)許多企業(yè)尚未給予合同管理，特別是合同風(fēng)險(xiǎn)防控足夠的重視，存在合同管理制度欠缺、流程管理不合理、合同管理人員不足、風(fēng)險(xiǎn)管理機(jī)構(gòu)缺失、風(fēng)險(xiǎn)管理手段單一、風(fēng)險(xiǎn)意識較差等諸多問題。因此，，建立健全的管理制度、培養(yǎng)具備一定管理和法律素質(zhì)的管理人員、明確風(fēng)險(xiǎn)管理機(jī)構(gòu)、完善風(fēng)險(xiǎn)管理手段、提高合同風(fēng)險(xiǎn)意識是當(dāng)前諸多國內(nèi)企業(yè)急需開展的工作。 本文選擇了國內(nèi)特大型油氣田企業(yè)—大慶油田公司作為研究對象，對大慶油田公司合同風(fēng)險(xiǎn)防控體系中存在的問題進(jìn)行分析研究，結(jié)合國內(nèi)外關(guān)于合同管理、風(fēng)險(xiǎn)管理及合同風(fēng)險(xiǎn)管理研究成果，重構(gòu)了大慶油田公司合同風(fēng)險(xiǎn)防控體系。提出了堅(jiān)持事前防范和事中控制為主、事后補(bǔ)救為輔，落實(shí)風(fēng)險(xiǎn)防控責(zé)任，建立風(fēng)險(xiǎn)識別、風(fēng)險(xiǎn)評析、風(fēng)險(xiǎn)防范、風(fēng)險(xiǎn)處理體系的總體思路，提出了合同風(fēng)險(xiǎn)防控體系的重構(gòu)原則。根據(jù)合同風(fēng)險(xiǎn)的范疇不同，區(qū)分管理過程中的風(fēng)險(xiǎn)和法律層面上的風(fēng)險(xiǎn)，相應(yīng)設(shè)計(jì)了不同的防控措施，合同管理類風(fēng)險(xiǎn)主要從組織結(jié)構(gòu)風(fēng)險(xiǎn)、人力資源風(fēng)險(xiǎn)、合同管理制度風(fēng)險(xiǎn)、合同管理流程風(fēng)險(xiǎn)、合同管理信息系統(tǒng)風(fēng)險(xiǎn)等五類風(fēng)險(xiǎn)進(jìn)行防控措施的設(shè)計(jì)，合同法律類風(fēng)險(xiǎn)主要從合同簽訂風(fēng)險(xiǎn)、合同當(dāng)事人風(fēng)險(xiǎn)、合同文本風(fēng)險(xiǎn)、合同履行風(fēng)險(xiǎn)等四類風(fēng)險(xiǎn)進(jìn)行防控措施的設(shè)計(jì)。在合同風(fēng)險(xiǎn)防控體系實(shí)施過程中，通過堅(jiān)持推進(jìn)合同管理信息化建設(shè)、加強(qiáng)相關(guān)管理部門的協(xié)作、建立完善的合同管理考核體系、加強(qiáng)對合同的審計(jì)和效能監(jiān)察管理、加強(qiáng)制度建設(shè)保障和基礎(chǔ)性工作等保障措施，確保合同風(fēng)險(xiǎn)防控體系的有效實(shí)施。 本文的研究旨在為大慶油田合同風(fēng)險(xiǎn)防控方面的研究提供有價(jià)值的指導(dǎo)，并為其他油氣田企業(yè)的合同風(fēng)險(xiǎn)防控工作起到一定的借鑒意義。
[Abstract]:Under the environment of market economy, signing and performing contracts run through all the transaction behaviors of enterprises. Contracts are the starting point and end point for all kinds of market subjects to participate in market operation and competition. In the unpredictable market activities, the prevention and control of contract risks to protect the legitimate rights and interests of enterprises, to avoid management and legal risks have great significance. However, many domestic enterprises have not paid enough attention to the contract management, especially the contract risk prevention and control, the contract management system is deficient, the process management is unreasonable, the contract management personnel is insufficient, the risk management organization is missing, The risk management means is single, the risk consciousness is poor and so on many problems. Therefore, it is urgent for many domestic enterprises to establish a sound management system, train management personnel with certain management and legal qualities, clarify risk management institutions, perfect risk management means, and improve contract risk awareness. In this paper, Daqing Oilfield Company, a large oil and gas field enterprise in China, is selected as the research object to analyze and study the problems existing in the contract risk prevention and control system of Daqing Oilfield Company, combining with the contract management at home and abroad. The research result of risk management and contract risk management reconstructs the contract risk prevention and control system of Daqing Oilfield Company. The paper puts forward the general idea of sticking to prevention and control in advance and control before and after the event, followed by remedial after the event, implementing the responsibility of risk prevention and control, establishing risk identification, risk assessment, risk prevention, and risk handling system. The reconstruction principle of contract risk prevention and control system is put forward. According to the different categories of contract risk, the paper distinguishes the risk in the management process from the risk on the legal level, and designs different prevention and control measures accordingly. The risk of contract management type mainly includes organizational structure risk, human resource risk, and so on. Risk of contract management system, risk of contract management process, risk of contract management information system, risk of contract law are mainly from contract signing risk, contract party risk, contract text risk, etc. Contract performance risk and other four types of risk prevention and control measures design. In the process of implementing the contract risk prevention and control system, by insisting on the construction of contract management information, strengthening the cooperation of relevant management departments, establishing a perfect contract management assessment system, and strengthening the audit and efficiency supervision and management of the contract, Strengthen the safeguard measures of system construction and basic work to ensure the effective implementation of contract risk prevention and control system. The purpose of this paper is to provide valuable guidance for the study of contract risk prevention and control in Daqing Oilfield, and to play a certain reference for other oil and gas field enterprises in contract risk prevention and control.
