英國(guó)阿克斯石油公司跨國(guó)并購(gòu)戰(zhàn)略研究

【摘要】:跨國(guó)并購(gòu)一直是二次世界大戰(zhàn)以來(lái)跨國(guó)直接投資的主要形式之一,備受理論界和企業(yè)界的關(guān)注。石油業(yè)中的跨國(guó)并購(gòu)涉及范圍廣、時(shí)間長(zhǎng)、規(guī)模大,長(zhǎng)期存在并持續(xù)擴(kuò)大。從上世紀(jì)九十年代初開始,中國(guó)石油企業(yè)開始“走出去”參與國(guó)際競(jìng)爭(zhēng),方式包括工程外包和商務(wù)合作并嘗試進(jìn)入并購(gòu)領(lǐng)域。完成WTO談判后,國(guó)內(nèi)石油企業(yè)海外業(yè)務(wù)迅速增加,跨國(guó)并購(gòu)的力度和規(guī)模不斷擴(kuò)大。本文嘗試就跨國(guó)并購(gòu)的理論和發(fā)展過程進(jìn)行簡(jiǎn)要論述,結(jié)合中勘國(guó)際公司并購(gòu)英國(guó)阿克斯石油公司的涉及內(nèi)容和可行性,從并購(gòu)市場(chǎng)發(fā)展趨勢(shì),面臨的政治、經(jīng)濟(jì)法律環(huán)境;并購(gòu)對(duì)象的價(jià)值,包括阿克斯石油公司儲(chǔ)量、勘探開發(fā)現(xiàn)狀;經(jīng)營(yíng)形勢(shì)、負(fù)債率、人力資源;以及交割方式和手續(xù)等方面進(jìn)行初步探討,發(fā)現(xiàn)其存在的不足以及相應(yīng)原因。并根據(jù)經(jīng)過座談、調(diào)查、經(jīng)驗(yàn)總結(jié)以及實(shí)際需要出發(fā),對(duì)影響跨國(guó)并購(gòu)的因素進(jìn)行分析后,就并購(gòu)戰(zhàn)略、整合方式、組織結(jié)構(gòu)優(yōu)化、國(guó)際化人才保留和跨文化交流溝通等方面提出建議,使中勘國(guó)際公司的跨國(guó)并購(gòu)過程得到不斷優(yōu)化,經(jīng)營(yíng)效果得到不斷提高。希望通過本論文的研究,對(duì)其中的典型案例的運(yùn)作過程和結(jié)論分析并提出建議,能夠使中勘國(guó)際公司的并購(gòu)更加順暢成功,也能為中國(guó)企業(yè)后續(xù)類似并購(gòu)案例實(shí)務(wù)操作提供有益參考和借鑒。
[Abstract]:Transnational M & A (M & A) has been one of the main forms of transnational direct investment (FDI) since World War II. Transnational M & A in oil industry involves a wide range, long time, large scale, long-term existence and continuous expansion. From the early 1990s, Chinese oil companies began to "go out" to participate in international competition, including engineering outsourcing and business cooperation and try to enter the field of mergers and acquisitions. After the completion of WTO negotiations, the overseas business of domestic oil enterprises has increased rapidly, and the strength and scale of cross-border mergers and acquisitions have been continuously expanded. This paper attempts to briefly discuss the theory and development process of cross-border M & A, combined with the contents and feasibility of M & A of China International Company, from the trend of M & A market development and the political, economic and legal environment faced by the M & A market. The value of M & A object, including the reserves, exploration and development status, the operating situation, debt ratio, human resources, delivery methods and procedures of the merger and acquisition, and find out its shortcomings and corresponding reasons. According to the discussion, investigation, experience summary and actual needs, after analyzing the factors affecting cross-border M & A, the paper optimizes the M & A strategy, integration mode and organizational structure. In order to optimize the process of transnational M & A and improve the management effect, some suggestions are put forward in the aspects of international talent retention and cross-cultural communication. It is hoped that through the study of this paper, the operation process and conclusions of typical cases will be analyzed and some suggestions will be put forward to make the M & A of China Prospecting International Company more smooth and successful. It can also provide useful reference and reference for Chinese enterprises to follow up similar M & A cases.
