ZF建設(shè)公司法律風(fēng)險(xiǎn)防控體系構(gòu)建研究

【摘要】:我國(guó)社會(huì)主義市場(chǎng)經(jīng)濟(jì)體制正在逐步的完善,但我國(guó)企業(yè)將面臨更加嚴(yán)峻而復(fù)雜的市場(chǎng)環(huán)境,構(gòu)筑法律風(fēng)險(xiǎn)防控體系已成為我國(guó)企業(yè)經(jīng)濟(jì)發(fā)展的必然要求。建筑企業(yè)在法務(wù)建設(shè)上,一直處于中國(guó)企業(yè)的“短板”,普遍采用傳統(tǒng)的法律顧問制度,事后處理機(jī)制,嚴(yán)重阻礙了建筑企業(yè)的經(jīng)營(yíng)發(fā)展。ZF建設(shè)公司正屬于此類企業(yè),本文以該公司為具體研究對(duì)象,在管理實(shí)踐過程中積極探索建立企業(yè)法律風(fēng)險(xiǎn)防控體系,力爭(zhēng)化解、杜絕企業(yè)法律風(fēng)險(xiǎn),為該公司改善經(jīng)營(yíng)現(xiàn)狀,提升競(jìng)爭(zhēng)力,效益最大化提供有力保障。 本文主要研究ZF建設(shè)公司法律風(fēng)險(xiǎn)防控體系問題,采用了理論聯(lián)系實(shí)際的科學(xué)方法,以法律風(fēng)險(xiǎn)及法律風(fēng)險(xiǎn)防控的知識(shí)理論為基礎(chǔ),結(jié)合建筑企業(yè)的行業(yè)特點(diǎn),立足ZF建設(shè)公司的實(shí)際經(jīng)營(yíng)和法律風(fēng)險(xiǎn)防控的現(xiàn)狀,已發(fā)現(xiàn)問題、分析問題、解決問題為主線展開研究。在論文的準(zhǔn)備和撰寫中運(yùn)用了調(diào)查法和文獻(xiàn)研究法,在構(gòu)建法律風(fēng)險(xiǎn)防控體系時(shí)主要采用專家指導(dǎo)和專家建立兩種方法。 本文通過對(duì)ZF建設(shè)公司最近6年的經(jīng)營(yíng)情況進(jìn)行調(diào)查總結(jié),分析成因,提出ZF建設(shè)公司構(gòu)建法律風(fēng)險(xiǎn)防控體系的具體對(duì)策:通過提高合同治理水平;設(shè)立法律審查制度;建立重大決策論證制度;出臺(tái)工程款管理制度四項(xiàng)措施,建立健全法律風(fēng)險(xiǎn)防控制度系統(tǒng)。設(shè)立法律風(fēng)險(xiǎn)防控專機(jī)構(gòu),在總公司設(shè)立風(fēng)險(xiǎn)控制委員會(huì);在分公司設(shè)立法務(wù)部:在項(xiàng)目部設(shè)立法務(wù)人員。通過管理人員的綜合能力培養(yǎng);綜合型法務(wù)人才的選任;全體員工法律意識(shí)的培養(yǎng)三個(gè)方面提升全員法律風(fēng)險(xiǎn)防控意識(shí)水平。希望本文能為ZF建設(shè)公司走出困境,改善經(jīng)營(yíng)現(xiàn)狀,走健康可持續(xù)發(fā)展道路提供有利保障,同時(shí)為我國(guó)建筑企業(yè)構(gòu)建法律風(fēng)險(xiǎn)防控體系提供有利借鑒。
[Abstract]:China's socialist market economic system is gradually improving, but our enterprises will face a more severe and complex market environment, the construction of legal risk prevention and control system has become an inevitable requirement for the economic development of Chinese enterprises. Construction enterprises have always been in the "short board" of Chinese enterprises in the construction of legal affairs. Generally, the traditional legal advisory system and the after-action mechanism have seriously hindered the management and development of construction enterprises. ZF construction companies belong to this kind of enterprises. This article regards the company as the concrete research object, in the management practice process positively explores establishes the enterprise legal risk prevention and control system, strives to resolve, eliminates the enterprise legal risk, for this company to improve the management present situation, enhances the competitive power, Maximum benefit provides a strong guarantee. This paper mainly studies the legal risk prevention and control system of ZF construction company. It adopts the scientific method of integrating theory with practice, based on the knowledge theory of legal risk and legal risk prevention and control, combined with the industry characteristics of construction enterprise. Based on the actual management of ZF construction company and the current situation of legal risk prevention and control, the problems have been found, analyzed and solved as the main line of research. In the preparation and writing of the paper, the methods of investigation and document research are used, and the two methods of expert guidance and expert establishment are mainly used in the construction of legal risk prevention and control system. By investigating and summarizing the operation of ZF Construction Company in the last 6 years and analyzing the cause of formation, this paper puts forward the concrete countermeasures for ZF Construction Company to construct legal risk prevention and control system: to improve the level of contract governance, to set up a legal review system; Establishing the system of major decision-making and demonstration, introducing four measures of project fund management system, establishing and perfecting the system of legal risk prevention and control. Set up legal risk prevention and control agency, set up risk control committee in head office, set up legal department in branch company: establish legal staff in project department. Through the comprehensive ability training of management personnel, the selection and appointment of comprehensive legal personnel, and the training of the legal consciousness of all staff, the level of legal risk prevention and control consciousness of the whole staff can be improved. It is hoped that this paper can provide a favorable guarantee for ZF construction company to get out of the predicament, improve the current management situation and take the path of healthy and sustainable development, and at the same time, provide a favorable reference for the construction of legal risk prevention and control system in our country's construction enterprises.
