【摘要】:在當(dāng)前資源環(huán)境約束日益嚴(yán)重、國(guó)際間產(chǎn)業(yè)競(jìng)爭(zhēng)更加激烈的新形勢(shì)下,為提高煤炭生產(chǎn)集約化程度,延長(zhǎng)煤炭產(chǎn)業(yè)鏈,加快轉(zhuǎn)變發(fā)展方式,必須切實(shí)推進(jìn)企業(yè)戰(zhàn)略重組,才能提高企業(yè)發(fā)展質(zhì)量和效益,實(shí)現(xiàn)可持續(xù)發(fā)展。河南煤業(yè)化工集團(tuán)戰(zhàn)略重組的各方均是省屬大型國(guó)有企業(yè),主營(yíng)業(yè)務(wù)和產(chǎn)業(yè)結(jié)構(gòu)調(diào)整方向主要集中在煤炭和煤化工方面,但煤炭生產(chǎn)規(guī)模相對(duì)較小,煤炭后備資源配置不均衡。煤化工項(xiàng)目建設(shè)布局分散,人才、資金和技術(shù)支撐力弱,企業(yè)之間在資源、人才、區(qū)域優(yōu)勢(shì)等方面不能做到共享,沒(méi)有形成合力,更難以形成市場(chǎng)優(yōu)勢(shì)及對(duì)市場(chǎng)的控制力和主導(dǎo)作用,不具備煤炭和煤化工市場(chǎng)的話語(yǔ)權(quán)。戰(zhàn)略重組企業(yè)產(chǎn)業(yè)結(jié)構(gòu)相近或產(chǎn)品關(guān)聯(lián)度較大,戰(zhàn)略重組后企業(yè)可以在內(nèi)部實(shí)現(xiàn)資金、人力、自然資源、市場(chǎng)等多方面的資源共享、優(yōu)勢(shì)互補(bǔ),具備了打造河南省航母型煤炭和煤化工企業(yè)的多方條件。因此,戰(zhàn)略重組是順應(yīng)經(jīng)濟(jì)發(fā)展的客觀規(guī)律,也是市場(chǎng)競(jìng)爭(zhēng)的必然選擇。 論文以河南煤業(yè)化工集團(tuán)戰(zhàn)略重組為背景,首先從世界煤炭工業(yè)發(fā)展的潮流、國(guó)內(nèi)外戰(zhàn)略重組研究及發(fā)展現(xiàn)狀、戰(zhàn)略重組各方的基本情況、河南省推進(jìn)國(guó)有企業(yè)戰(zhàn)略重組的動(dòng)因和戰(zhàn)略重組的可行性等方面詳細(xì)闡述了河南煤業(yè)化工集團(tuán)戰(zhàn)略重組的必要性。隨后,結(jié)合項(xiàng)目管理理論和并購(gòu)重組理論,設(shè)計(jì)了河南煤業(yè)化工集團(tuán)戰(zhàn)略重組方案。并在此基礎(chǔ)上,圍繞項(xiàng)目組織管理、項(xiàng)目進(jìn)度控制、項(xiàng)目質(zhì)量控制、項(xiàng)目風(fēng)險(xiǎn)管理、項(xiàng)目成本管理等方面詳細(xì)論述了河南煤業(yè)化工集團(tuán)戰(zhàn)略重組項(xiàng)目的實(shí)施。最后,總結(jié)了河南煤業(yè)化工集團(tuán)戰(zhàn)略重組方案設(shè)計(jì)與實(shí)施研究中的不足,并針對(duì)不足,提出了下一步研究的改進(jìn)措施。
[Abstract]:Under the new situation of increasingly serious resource and environmental constraints and more intense international industrial competition, in order to improve the intensity of coal production, prolong the coal industry chain and accelerate the transformation of development mode, it is necessary to promote the strategic reorganization of enterprises. Only then can the enterprise develop the quality and the benefit, realizes the sustainable development. The strategic reorganization of Henan Coal Chemical Group is a large state-owned enterprise. The main business and industrial structure adjustment direction mainly focus on coal and coal chemical industry, but the scale of coal production is relatively small, and the allocation of coal reserve resources is not balanced. The construction layout of coal chemical projects is scattered, and the support of talents, funds and technologies is weak. Enterprises cannot share resources, talents, and regional advantages, and they do not form a joint force. It is more difficult to form market advantages and control and leading role in the market, and does not have the voice of coal and coal chemical market. The industrial structure of strategic reorganization enterprises is similar or the degree of product correlation is relatively large. After strategic reorganization, enterprises can share resources in many aspects, such as capital, manpower, natural resources, market and so on, and their advantages complement each other. Has built Henan Province aircraft carrier type coal and coal chemical industry enterprise multi-party condition. Therefore, strategic reorganization is the objective law of economic development and the inevitable choice of market competition. Based on the background of strategic reorganization of Henan Coal Industry and Chemical Industry Group, this paper firstly starts with the development trend of world coal industry, the research and development status of strategic reorganization at home and abroad, and the basic situation of all sides of strategic reorganization. The reasons and feasibility of strategic reorganization of state-owned enterprises in Henan Province are discussed in detail. The necessity of strategic reorganization of Henan Coal Industry and Chemical Industry Group is expounded in detail. Then, combining project management theory and M & A theory, the strategic reorganization scheme of Henan Coal Chemical Group is designed. On this basis, the implementation of the strategic reorganization project of Henan Coal Industry and Chemical Group is discussed in detail around the aspects of project organization and management, project schedule control, project quality control, project risk management, project cost management, etc. Finally, the paper summarizes the deficiencies in the design and implementation of the strategic reorganization scheme of Henan Coal Chemical Group Group, and puts forward the improvement measures for the next research.
