【摘要】：經(jīng)濟民主是經(jīng)濟領域中廣泛參與的利益組織形式,遵從少數(shù)服從多數(shù)原則,同時保護少數(shù)的利益,通過合作保障經(jīng)濟平等、自由,促進經(jīng)濟有序增長。市場經(jīng)濟的本質(zhì)要求上市公司治理遵循經(jīng)濟民主,經(jīng)濟民主體現(xiàn)在上市公司治理制度設計中并可以有效促進上市公司治理優(yōu)化。以國美電器控制權(quán)爭奪案反思我國上市公司治理,可發(fā)現(xiàn)種種不足。從微觀經(jīng)濟民主層面,應以利益相關(guān)人理論為基礎,改善和健全上市公司內(nèi)部治理;從中觀經(jīng)濟民主層面,應以平等為理念,推動市場參與者之間實現(xiàn)平等參與;從宏觀經(jīng)濟民主層面,應以自由、合作為理念,政府、社會與上市公司治理的互動。
[Abstract]:Economic democracy is a form of interest organization with extensive participation in the economic field. It obeys the principle of minority servitude from majority, at the same time protects the interests of minorities, and guarantees economic equality and freedom through cooperation. Promoting orderly economic growth. The essence of market economy requires listed companies to follow economic democracy in corporate governance. Economic democracy is embodied in the design of listed company governance system and can effectively promote the optimization of listed company governance. From the level of microeconomic democracy, we should improve and perfect the internal governance of listed companies on the basis of stakeholder theory. From the view of meso-economic democracy, we should take equality as the concept and promote equal participation among market participants. From the macroscopic economic democracy level, should take the freedom, the cooperation as the idea, the government, the society and the listed company governance interaction.
