【摘要】：企業(yè)并購(gòu)重組是伴隨經(jīng)濟(jì)全球化不斷深入而形成的一種必然趨勢(shì),也是企業(yè)管理所涉及到的一個(gè)全新內(nèi)容。通過(guò)并購(gòu),從宏觀來(lái)講,可以推進(jìn)國(guó)家產(chǎn)業(yè)重組,完成經(jīng)濟(jì)結(jié)構(gòu)調(diào)整與布局。微觀來(lái)講,重組可以實(shí)現(xiàn)企業(yè)強(qiáng)強(qiáng)聯(lián)手,優(yōu)勢(shì)資源互補(bǔ),企業(yè)核心競(jìng)爭(zhēng)力不斷提高等,最重要是可以幫助并購(gòu)方加快進(jìn)入新的領(lǐng)域及行業(yè)。同時(shí),并購(gòu)又是一項(xiàng)高風(fēng)險(xiǎn)的資本經(jīng)營(yíng)活動(dòng),它要求并購(gòu)方配備專(zhuān)業(yè)的、具有豐富經(jīng)驗(yàn)的并購(gòu)人才,具有行業(yè)管理、資金、品牌、渠道等相對(duì)優(yōu)勢(shì),具有較強(qiáng)的并購(gòu)整合能力。面對(duì)并購(gòu)誘惑,縱觀國(guó)內(nèi)外并購(gòu)案例,以失敗者居多。因此,加強(qiáng)企業(yè)并購(gòu)風(fēng)險(xiǎn)管理具有重要的現(xiàn)實(shí)意義。 本文首先對(duì)企業(yè)并購(gòu)的背景、意義、并購(gòu)理論、并購(gòu)類(lèi)型及國(guó)內(nèi)并購(gòu)發(fā)展趨勢(shì)特點(diǎn)等進(jìn)行了闡述,為投資者了解并購(gòu)理論,掌握并購(gòu)發(fā)展趨勢(shì)及動(dòng)向提供支撐；隨后結(jié)合ZGDQ企業(yè)實(shí)際以及并購(gòu)案例,就企業(yè)并購(gòu)現(xiàn)狀和問(wèn)題等進(jìn)行了分析,并對(duì)企業(yè)并購(gòu)風(fēng)險(xiǎn)分析及研究的必要性進(jìn)行闡述,強(qiáng)調(diào)了并購(gòu)風(fēng)險(xiǎn)分析與研究的重要性；最后,通過(guò)企業(yè)并購(gòu)現(xiàn)狀及問(wèn)題分析,提出ZGDQ當(dāng)前并購(gòu)面臨的主要風(fēng)險(xiǎn)為戰(zhàn)略風(fēng)險(xiǎn)、財(cái)務(wù)風(fēng)險(xiǎn)、營(yíng)運(yùn)風(fēng)險(xiǎn)及整合風(fēng)險(xiǎn),文章同時(shí)對(duì)各風(fēng)險(xiǎn)因素進(jìn)行詳細(xì)剖析,對(duì)并購(gòu)風(fēng)險(xiǎn)的識(shí)別方法進(jìn)行介紹,分別針對(duì)企業(yè)并購(gòu)重組過(guò)程中面臨的上述主要風(fēng)險(xiǎn),通過(guò)文字、圖標(biāo)等形式,提出了有針對(duì)性的風(fēng)險(xiǎn)防范措施,為ZGDQ未來(lái)并購(gòu)目標(biāo)選擇以及風(fēng)險(xiǎn)防范提供有力支持。
[Abstract]:Corporate mergers and acquisitions is a certain trend with the deepening of economic globalization, a new content of enterprise management is also involved. Through mergers and acquisitions, from the macroscopic view, can promote the national industrial restructuring, completed the adjustment and layout of economic structure. The micro perspective, restructuring enterprises can achieve together, complementary resources, enterprise continuously improve the core competitiveness, the most important is to help the acquirer to speed up access to new areas and industries. At the same time, merger is also a high risk capital operation, it requires the acquirer is equipped with professional, experienced talent acquisition, industry management, capital, brand, channel and other relative advantage has a strong ability to integrate acquisitions. Facing the merger temptation, throughout the domestic and international M & A, with the loser majority. Therefore, strengthening the enterprise merger risk management has important practical significance.
Firstly, the background of corporate mergers and acquisitions, mergers and acquisitions, mergers and acquisitions theory, types and development trend of domestic mergers and acquisitions characteristics are described, for investors to understand the theory of M & A, grasp the development trend and trend of mergers and acquisitions to provide support; then combined with the actual business ZGDQ and merger cases, on the merger of the status quo and problems are analyzed and expounded the necessity and M & A analysis and Research on the risk of enterprises, stressed the importance of risk analysis and study of mergers and acquisitions; finally, through the analysis of the current situation and problems of enterprise merger and acquisition of ZGDQ, the current M & a main risk for strategic risk, financial risk, operational risk and integration risk, this paper makes a detailed analysis of the risk factors at the same time, recognition the risk of acquisition method are introduced, respectively, in the face of corporate mergers and acquisitions in the process of the main risks, through the text, icons and other forms. The targeted risk prevention measures are given to provide strong support for ZGDQ's future M & a target selection and risk prevention.
