【摘要】：基于關(guān)系契約理論,采用"結(jié)構(gòu)-行為-績效"研究范式與非線性中介效應(yīng)檢驗(yàn)方法,對(duì)深滬民營上市公司董事地位差異通過決策過程的中介作用對(duì)財(cái)務(wù)績效的影響進(jìn)行實(shí)證檢驗(yàn)。研究結(jié)果發(fā)現(xiàn),董事地位差異是一種協(xié)調(diào)董事會(huì)運(yùn)作的有效機(jī)制,董事地位差異與決策行為強(qiáng)度呈負(fù)向指數(shù)曲線關(guān)系;董事會(huì)決策行為強(qiáng)度完全中介董事地位差異對(duì)公司績效的影響,并存在顯著瞬間間接效應(yīng)。研究表明,在權(quán)威服從的社會(huì)文化與市場化程度較低的中國治理情景下,群龍無首的精英董事會(huì)難以確保其有效性,但差而有序,序而有尊的董事地位差異更有助于民營上市公司董事會(huì)治理效果的改善。研究結(jié)論進(jìn)一步打開了董事會(huì)內(nèi)部互動(dòng)過程的"黑箱",并通過引入董事會(huì)決策行為強(qiáng)度作為中介變量,拓展了既有研究的"結(jié)構(gòu)-行為"范式,創(chuàng)新了中介效應(yīng)的驗(yàn)證方法,使現(xiàn)有理論模型更符合實(shí)踐邏輯。
[Abstract]:Based on the relational contract theory, this paper adopts the "structure-behavior-performance" paradigm and the test method of nonlinear intermediary effect. This paper empirically tests the influence of the difference of directors' status on the financial performance of the private listed companies in Shenzhen and Shanghai through the intermediary function of the decision-making process. The results show that the difference of directors' status is an effective mechanism to coordinate the operation of the board of directors, and the relationship between the difference of directors' status and the intensity of decision-making behavior is a negative exponential curve. The intensity of board decision behavior completely mediates the influence of the difference of directors' status on corporate performance, and there is a significant instantaneous indirect effect. Studies have shown that in the context of China's low level of governance and social culture of authority compliance, it is difficult for an elite board of directors without a leader to ensure its effectiveness, but it is poor and orderly. The order and respect of the status of directors is more conducive to the improvement of the governance of private listed companies board of directors. The conclusion further opens the "black box" of the interaction process within the board of directors. By introducing the intensity of decision-making behavior of the board of directors as the intermediary variable, it expands the "structure-behavior" paradigm of the existing research, and innovates the verification method of the intermediary effect. Make the existing theoretical model more in line with the practical logic.
