【摘要】：場(chǎng)外交易市場(chǎng)作為資本市場(chǎng)最古老的形式是伴隨著資本主義經(jīng)濟(jì),特別是股份制產(chǎn)生和發(fā)展起來(lái)的,其發(fā)展過(guò)程經(jīng)歷了自發(fā)的場(chǎng)外交易市場(chǎng),被限制,被法律承認(rèn)然后快速發(fā)展的階段。場(chǎng)外交易市場(chǎng)作為多層次資本市場(chǎng)體系的重要組成部分,對(duì)防范金融風(fēng)險(xiǎn)起著越來(lái)越重要的作用,對(duì)加速資本主義社會(huì)進(jìn)步和促進(jìn)新興產(chǎn)業(yè)發(fā)展也功不可沒(méi)。 而我國(guó)證券場(chǎng)外交易市場(chǎng)卻自上世紀(jì)八十年代初期自發(fā)形成之后,至今仍然定位不明確,發(fā)展?fàn)顟B(tài)分散無(wú)序,還處于探索建設(shè)階段。金融危機(jī)之后國(guó)內(nèi)中小企業(yè)日益增長(zhǎng)的融資需求,要求適時(shí)構(gòu)建我國(guó)場(chǎng)外交易市場(chǎng),尤其是經(jīng)歷了天津股權(quán)交易所的建立、代辦股份轉(zhuǎn)讓系統(tǒng)的發(fā)展以及各地產(chǎn)權(quán)交易中心的成長(zhǎng)之后,建立統(tǒng)一監(jiān)管的全國(guó)性場(chǎng)外市場(chǎng)又面臨著新的環(huán)境。因此,學(xué)習(xí)國(guó)外在場(chǎng)外交易市場(chǎng)建設(shè)方面的經(jīng)驗(yàn),并在此基礎(chǔ)上結(jié)合中國(guó)目前的實(shí)際情況,建立適合我國(guó)的場(chǎng)外交易市場(chǎng)體系是非常必要和迫切的。 本文使用歷史研究方法、比較分析、分類討論等方法,通過(guò)系統(tǒng)化的研究手段,探討了場(chǎng)外交易市場(chǎng)的的定義和特點(diǎn),以及美國(guó)場(chǎng)外交易市場(chǎng)的發(fā)展經(jīng)驗(yàn),中國(guó)場(chǎng)外市場(chǎng)曲折的發(fā)展進(jìn)程和存在的主要問(wèn)題,在此基礎(chǔ)上設(shè)想了建設(shè)統(tǒng)一監(jiān)管全國(guó)性場(chǎng)外交易市場(chǎng)的具體思路,包括結(jié)構(gòu)模式、制度建設(shè)和建設(shè)路徑,提出了通過(guò)改造現(xiàn)有產(chǎn)權(quán)市場(chǎng)等在內(nèi)的多條建設(shè)路徑。作為建設(shè)中國(guó)場(chǎng)外交易市場(chǎng)的探索,本文的理論研究對(duì)解決中小企業(yè)的融資困難,促進(jìn)實(shí)體經(jīng)濟(jì)發(fā)展都具有一定的現(xiàn)實(shí)意義。
[Abstract]:As the oldest form of capital market, OTC market is accompanied by the emergence and development of capitalist economy, especially the stock system. Its development process has experienced spontaneous OTC market, which is restricted. The stage of legal recognition and rapid development. As an important part of the multi-level capital market system, the over-the-counter market plays an increasingly important role in preventing financial risks. To accelerate capitalist society progress and promote the development of new industries. However, since the spontaneous formation of the over-the-counter securities market in China in the early 1980s, its position is still unclear and its development state is scattered and disordered. After the financial crisis, the growing financing needs of small and medium-sized enterprises in China require the timely construction of an over-the-counter market in China, especially after the establishment of the Tianjin Stock Exchange. With the development of the agency share transfer system and the growth of local property rights trading centers, the establishment of a unified national over-the-counter market is facing a new environment. Therefore, learn from the experience of foreign countries in the construction of over-the-counter markets. On the basis of this, it is very necessary and urgent to establish an OTC market system suitable for our country. By means of historical research, comparative analysis, classification and discussion, this paper discusses the definition and characteristics of OTC market and the development experience of OTC market in the United States. On the basis of the tortuous development process and the main problems of China's over-the-counter market, the concrete ideas for the construction and supervision of the national over-the-counter market are envisaged, including the structural model, the system construction and the path of construction. As an exploration of the construction of China's over-the-counter market, the theoretical research in this paper has solved the financing difficulties of small and medium-sized enterprises. It is of practical significance to promote the development of real economy.
