【摘要】：中國股市發(fā)展的這20多年以來，擴(kuò)容率排在全球第一。目前已經(jīng)有2500多只股票掛牌上市。相比較，美國股市發(fā)展已經(jīng)200多年，目前總共才3000多只股票。上市公司一般以規(guī)范的公司治理結(jié)構(gòu)而聞名，不過虛假披露，欺詐信息等一直隱藏在許多公司光鮮亮麗的業(yè)績背后。投資者和監(jiān)管方都需要擦亮眼睛，股市也需要“315”。近年來，上市公司財務(wù)造假問題層出不窮，垃圾股票仍繼續(xù)在股市中稀釋資金，中小股民的錢不斷被洗劫，政府對于股市的有效監(jiān)管問題必須及時得到有效的解決�？梢钥闯觯m然中國股市的發(fā)展十分迅速，可是繁榮的背后是否有泡沫的存在，也逐漸成為證券市場的隱憂。加大政府部門對財務(wù)信息披露的檢查監(jiān)督，加強(qiáng)監(jiān)管和懲罰力度，對解決證券市場的信息披露問題具有非常重要的意義。 本研究以新公共管理理論為基本的理論基礎(chǔ)，新公共管理理論認(rèn)為，完全競爭的市場只在理論中存在，現(xiàn)實(shí)中政府對市場的規(guī)制和管理作用必不可少，，政府干預(yù)有存在的必要和價值。政府干預(yù)旨在規(guī)范企業(yè)行為和規(guī)避市場風(fēng)險，政府與企業(yè)并非是對立關(guān)系，而應(yīng)該是相互依存，相互依靠的合作關(guān)系，政府與企業(yè)關(guān)系的變化除了遵循市場經(jīng)濟(jì)條件下政企關(guān)系演進(jìn)的共同規(guī)律外，也同時具有中國特色。現(xiàn)如今，市場改革推動了傳統(tǒng)政府與企業(yè)關(guān)系的轉(zhuǎn)型，政府的職能從政治統(tǒng)治為主逐漸向公共管理為主，政府的經(jīng)濟(jì)管理職能進(jìn)入了新的階段。股份制企業(yè)已經(jīng)成為經(jīng)濟(jì)發(fā)展的趨勢，隨著我國股票市場的不斷發(fā)展，股市的國際化、規(guī)范化程度正日益提高，已經(jīng)形成了一套初步的信息披露制度，對建立公平、公正、公開的證券市場，保護(hù)廣大投資者利益起到了積極的作用。但由于我國證券市場面臨著“新興+轉(zhuǎn)型”的制度和發(fā)展環(huán)境，我國上市公司財務(wù)信息披露中還存在不規(guī)范的現(xiàn)象，近年來國內(nèi)連續(xù)出現(xiàn)一系列公司財務(wù)丑聞和證券欺詐事件，揭示出我國現(xiàn)代證券市場并未很好的解決上市公司財務(wù)信息披露問題，這既損害了我國證券市場和上市公司的健康發(fā)展，也損害了廣大投資者的利益。因此，研究政府對上市公司財務(wù)信息披露質(zhì)量的監(jiān)管，有著很大的現(xiàn)實(shí)意義和理論意義。
[Abstract]:China's stock market has developed for more than 20 years, the expansion rate ranked first in the world.At present, there are more than 2500 stocks listed on the market.By comparison, the U.S. stock market has been developed for more than 200 years, and now only more than 3000 stocks.Listed companies are generally known for their normative corporate governance structures, but false disclosures and fraudulent information have been hidden behind the glittering performance of many companies.Investors and regulators need to sharpen their eyes, and stock markets need 315.In recent years, the problem of financial fraud of listed companies emerges in endlessly, the junk stock still continues to dilute the funds in the stock market, the money of the small and medium shareholders is constantly ransacked, the effective supervision of the government to the stock market must be solved in time and effectively.It can be seen that although the development of China's stock market is very rapid, whether there is a bubble behind the prosperity has gradually become a hidden concern of the securities market.It is of great significance to strengthen the inspection and supervision of financial information disclosure, strengthen the supervision and punishment, and solve the problem of information disclosure in the securities market.This research takes the new public management theory as the basic theory foundation, the new public management theory holds that the completely competitive market only exists in the theory, in reality, the government's regulation and management function to the market is indispensable.Government intervention is necessary and valuable.Government intervention is aimed at standardizing enterprise behavior and avoiding market risks. Government and enterprises are not opposed to each other, but should be interdependent and interdependent cooperative relations.The change of the relationship between government and enterprise not only follows the common law of the evolution of the relationship between government and enterprise under the condition of market economy, but also has Chinese characteristics.Nowadays, market reform has promoted the transformation of the traditional relationship between government and enterprise. The function of government has gradually changed from political rule to public administration, and the economic management function of government has entered a new stage.The shareholding enterprises have become the trend of economic development. With the continuous development of the stock market in our country, the internationalization and standardization of the stock market are increasing day by day, and a preliminary information disclosure system has been formed, which is fair and just to the establishment of the stock market.Open securities market, the protection of the interests of investors played a positive role.However, due to the system and development environment of "emerging transformation" in China's securities market, there are still some irregularities in the financial information disclosure of listed companies in China. In recent years, there have been a series of corporate financial scandals and securities fraud in China.It is revealed that the modern securities market of our country has not solved the problem of financial information disclosure of listed companies very well, which not only damages the healthy development of our securities market and listed companies, but also damages the interests of the majority of investors.Therefore, it is of great practical and theoretical significance to study the government supervision on the quality of financial information disclosure of listed companies.
