【摘要】：施工總承包項(xiàng)目具有投資規(guī)模大、管理環(huán)節(jié)多、施工周期長、質(zhì)量要求高等特點(diǎn),這決定了施工總承包人在施工過程中有較高的經(jīng)營風(fēng)險(xiǎn),眾多案例也揭示出施工總承包人的法律意識(shí)較為薄弱,需要對(duì)防控法律風(fēng)險(xiǎn)的對(duì)策開展深入研究。本文結(jié)合具體、詳實(shí)的案例,從施工總承包人的角度研究項(xiàng)目全過程的法律風(fēng)險(xiǎn)及應(yīng)對(duì)策略。按照工程進(jìn)展順序?qū)⑹┕た偝邪?xiàng)目劃分為項(xiàng)目投標(biāo)和合同簽訂階段、合同履約階段、合同結(jié)算階段,對(duì)其中存在的法律問題和法律風(fēng)險(xiǎn)進(jìn)行識(shí)別與分析,探索法律風(fēng)險(xiǎn)的防控措施。針對(duì)項(xiàng)目投標(biāo)和合同簽訂階段的法律風(fēng)險(xiǎn),從對(duì)我國招標(biāo)、投標(biāo)法律法規(guī)分析入手,總結(jié)出投標(biāo)人面臨的六項(xiàng)法律風(fēng)險(xiǎn),并提出規(guī)避合同風(fēng)險(xiǎn)的有效措施。針對(duì)合同履約階段的法律風(fēng)險(xiǎn),結(jié)合施工總承包項(xiàng)目實(shí)施過程中所引發(fā)的訴訟案例,對(duì)工程轉(zhuǎn)包、工期延誤、工程審計(jì)進(jìn)行深入研究,提出了認(rèn)定工程轉(zhuǎn)包的重要依據(jù),分析了工程延期的原因,梳理和審視了我國審計(jì)法律體系,最后提出合同履約階段法律風(fēng)險(xiǎn)防控的重要措施。針對(duì)合同結(jié)算階段的法律風(fēng)險(xiǎn),深入討論了工程結(jié)算有關(guān)價(jià)款爭(zhēng)議的情形和風(fēng)險(xiǎn),論述了適用工程價(jià)款優(yōu)先受償權(quán)的形式和例外情形,提出了保理在工程價(jià)款清收中的方法。并且提出了防控法律風(fēng)險(xiǎn)的機(jī)制,進(jìn)而為建筑行業(yè)的法律風(fēng)險(xiǎn)認(rèn)知、應(yīng)對(duì)和處理提供參考和借鑒意義。本文通過對(duì)施工總承包項(xiàng)目全過程法律風(fēng)險(xiǎn)對(duì)策進(jìn)行研究,希望對(duì)我國建筑施工企業(yè)防范法律風(fēng)險(xiǎn)提供有價(jià)值的參考。
[Abstract]:The construction general contract project has the characteristics of large scale of investment, many management links, long construction period and high quality requirements, which determines that the construction general contractor has a higher operating risk in the construction process. Many cases also reveal that the legal consciousness of the general contractor is relatively weak, and it is necessary to carry out in-depth research on the countermeasures of prevention and control of legal risks. From the point of view of the general contractor of construction, the legal risks and countermeasures of the whole process of the project are studied. According to the order of the progress of the project, the project is divided into the stage of project bidding and contract signing, the stage of contract performance and the stage of contract settlement. To identify and analyze the existing legal problems and legal risks, to explore the prevention and control measures of legal risks. In view of the legal risks in the stage of project bidding and contract signing, this paper begins with the analysis of the laws and regulations of bidding and bidding in our country. This paper summarizes six legal risks faced by bidders, and puts forward effective measures to avoid contract risks. In view of the legal risks in the stage of contract performance, combined with the litigation cases caused by the implementation of the construction general contract project, the project is subcontracted. In this paper, the author makes a thorough study on the delay of the construction period and the audit of the project, puts forward the important basis for determining the subcontracting of the project, analyzes the reasons for the extension of the project, combs and examines the audit legal system of our country. Finally, it puts forward the important measures of preventing and controlling the legal risk in the stage of contract performance. In view of the legal risk in the stage of contract settlement, the situation and risk of the dispute on the price of project settlement are discussed in depth. This paper discusses the forms and exceptions of the right of preferential payment for the applicable project price, puts forward the methods of factoring in clearing and collecting the project price, and puts forward the mechanism of preventing and controlling the legal risk, which is the cognition of the legal risk of the construction industry. Through the research on the legal risk countermeasure of the whole process of the construction general contract project, this paper hopes to provide valuable reference for the construction enterprises of our country to guard against the legal risk.
