【摘要】：2012年行業(yè)創(chuàng)新大會(huì)的舉行揭開了證券公司自建柜臺(tái)市場(chǎng)建設(shè)的序幕。作為中國(guó)多層次資本市場(chǎng)體系重要組成部分，其底層市場(chǎng)定位從一開始就被賦予私募市場(chǎng)屬性，并成為中國(guó)中小微企業(yè)孵化器。對(duì)于踐行中國(guó)私募制度改革、加快場(chǎng)外個(gè)性化衍生產(chǎn)品的創(chuàng)設(shè)、完善券商基本功能方面貢獻(xiàn)良多。同時(shí)底層市場(chǎng)的建設(shè)也將大大加快中國(guó)金融業(yè)尤其是證券行業(yè)的轉(zhuǎn)型升級(jí)，完善中小企業(yè)融資渠道。無論對(duì)于國(guó)家還是企業(yè)自身而言，，意義重大的。 美國(guó)多層次資本市場(chǎng)研究無論在理論研究和市場(chǎng)建設(shè)方面都十分成熟，本文梳理美國(guó)證券公司柜臺(tái)市場(chǎng)方面相關(guān)理論和市場(chǎng)研究也是基于此，給正在進(jìn)行改革發(fā)展的中國(guó)券商柜臺(tái)市場(chǎng)一點(diǎn)借鑒和學(xué)習(xí)。本文首先介紹了證券公司自建柜臺(tái)市場(chǎng)概覽，并通過與現(xiàn)有各市場(chǎng)對(duì)比分析，著重強(qiáng)調(diào)了證券公司自身的定位和特征，讓更多人了解和認(rèn)識(shí)這一市場(chǎng)，隨后介紹了美國(guó)證券公司自建柜臺(tái)市場(chǎng)發(fā)展經(jīng)驗(yàn)及啟示。因?yàn)樽C券公司自建柜臺(tái)市場(chǎng)剛起步，通過波特五力和SWOT分析，對(duì)這一新興市場(chǎng)面臨的環(huán)境進(jìn)行了綜合分析并基于戰(zhàn)略考慮給出了一定建議。最后就市場(chǎng)的具體建設(shè)進(jìn)行了暢想。在行業(yè)創(chuàng)新發(fā)展的大背景下，中國(guó)證券公司柜臺(tái)市場(chǎng)必將越走越遠(yuǎn)。
[Abstract]:The 2012 Industry Innovation Conference opened the prelude to the construction of self-built counter market for securities companies. As an important part of China's multi-level capital market system, its bottom market positioning has been endowed with the attribute of private market from the beginning, and has become the incubator of small and medium-sized enterprises in China. To practice the reform of China's private equity system, accelerate the creation of OTC personalized derivative products, and improve the basic functions of securities companies. At the same time, the construction of the bottom market will speed up the transformation and upgrading of China's financial industry, especially the securities industry, and improve the financing channels of small and medium-sized enterprises. Whether for the country or the enterprise itself, the significance is significant. The multi-level capital market research in the United States is very mature in both theoretical research and market construction. This paper combs the relevant theories and market research on the over-the-counter market of American securities companies based on this. For the reform and development of the counter market of Chinese securities companies a little reference and learning. This paper first introduces the overview of the securities company's self-built counter market, and through the comparative analysis with the existing market, emphasizes the positioning and characteristics of the securities company itself, so that more people can understand and understand the market. Then introduced the American securities company self-built counter market development experience and inspiration. Because the securities company has just started to set up the counter market, through the analysis of Porter and SWOT, this paper makes a comprehensive analysis of the environment facing this emerging market and gives some suggestions based on the strategic considerations. Finally, the concrete construction of the market has carried on the imagination. Under the background of industry innovation and development, the counter market of Chinese securities companies will go further and further.
