【摘要】：美國場外金融衍生品規(guī)則經(jīng)歷了從普通法規(guī)則到成文法規(guī)范,從分散到集中立法,從監(jiān)管競爭到合作的演變。美國以證券和商品劃分的傳統(tǒng)監(jiān)管導(dǎo)致場外金融衍生品交易面臨法律的不確定,監(jiān)管權(quán)異化為豁免權(quán)。監(jiān)管改革雖沒有觸及多頭監(jiān)管的基本模式,但交叉機(jī)制的引入以及協(xié)調(diào)合作的強(qiáng)制性制度安排有效地防止了監(jiān)管權(quán)沖突,順應(yīng)了場外金融衍生品的創(chuàng)新發(fā)展及其與證券界限日趨模糊的現(xiàn)實(shí)需求。
[Abstract]:The over-the-counter financial derivatives rules in the United States have evolved from common law rules to statutory norms, from decentralized to centralized legislation, from regulatory competition to cooperation. The traditional regulation of securities and commodities in the United States leads to the uncertainty of law in over-the-counter financial derivatives trading and the alienation of regulatory power into immunity. Although the regulatory reform has not touched on the basic model of multi-supervision, the introduction of cross-mechanism and the compulsory arrangement of coordination and cooperation have effectively prevented the conflict of regulatory rights. It conforms to the demand of the innovation and development of OTC financial derivatives and the blurring of the boundary between OTC financial derivatives and securities.
