【摘要】：伴隨全球一體化進(jìn)程的加速,中國企業(yè)海外收購與國際化戰(zhàn)略步伐明顯加快。但是在海外收購過程中,中國企業(yè)面臨著較大的投資風(fēng)險,致使收購交易難以順利開展。2016年12月,由于交易條件無法實現(xiàn),中國福建宏芯投資基金對德國半導(dǎo)體設(shè)備生產(chǎn)商愛思強公司(Aixtron)的收購案以失敗告終,這是中國企業(yè)并購海外半導(dǎo)體企業(yè)失敗的又一典型案例。本文對該案例的具體經(jīng)過進(jìn)行了詳細(xì)論述,并針對收購失敗原因提出幾點啟示,以期提高我國企業(yè)海外并購成功率,尤其是半導(dǎo)體類的企業(yè)并購。
[Abstract]:With the acceleration of the process of global integration, the pace of overseas acquisition and internationalization strategy of Chinese enterprises has obviously accelerated. However, in the process of overseas acquisitions, Chinese enterprises are facing greater investment risks, which makes the acquisition difficult to carry out smoothly. In December 2016, because the terms of the deal could not be realized, The takeover of (Aixtron), a German semiconductor equipment maker, by China's Fujian Macro Investment Fund ended in failure, another typical example of a Chinese merger and acquisition of an overseas semiconductor company. In this paper, the concrete process of this case is discussed in detail, and some enlightenments are put forward in view of the reasons for the failure of acquisition, in order to improve the success rate of overseas mergers and acquisitions of Chinese enterprises, especially semiconductor enterprises.
