【摘要】：本文以美的集團創(chuàng)始人離任后由職業(yè)經(jīng)理人繼任事件為例,從創(chuàng)始人離任導致創(chuàng)始人專用性資產(chǎn)減損和繼任者繼任過程中專用性資產(chǎn)重構(gòu)的視角出發(fā),將創(chuàng)始人離任模式和繼任者來源相結(jié)合,討論企業(yè)繼任問題的本質(zhì)和權(quán)力交接的不同路徑選擇及其對企業(yè)成長的影響機制。主要發(fā)現(xiàn)和結(jié)論是:(1)創(chuàng)始人專用性資產(chǎn)是企業(yè)發(fā)展的關(guān)鍵資源,創(chuàng)始人離任后,繼任者能夠成功繼任的關(guān)鍵在于專用性資產(chǎn)的重構(gòu),以突破創(chuàng)始人專用性資產(chǎn)對企業(yè)成長的約束,實現(xiàn)企業(yè)權(quán)杖順利交接;(2)創(chuàng)始人離任和繼任者繼任是一個動態(tài)復雜、相輔相成的系統(tǒng)性工程,不同權(quán)力交接模式具有不同的動因、特征和適用條件,企業(yè)應當具體問題具體分析,理性規(guī)劃,合理安排。企業(yè)可以通過"過程培養(yǎng)"、"制度安排"和"文化傳承"三個方面的機制設計,將創(chuàng)始人離任時的專用性資產(chǎn)減損程度降至最低,實現(xiàn)創(chuàng)始人專用性資產(chǎn)和繼任者專用性資產(chǎn)的轉(zhuǎn)化和替代,形成對職業(yè)經(jīng)理人的互信、激勵和約束,實現(xiàn)職業(yè)經(jīng)理人的成功繼任,家族利益和企業(yè)價值的共贏。本文對于民營企業(yè)創(chuàng)始人離任后權(quán)力交接的路徑選擇具有重要的啟示意義。
[Abstract]:This paper takes the event of professional manager succession after the departure of Midea founder as an example, from the perspective of the loss of founder's exclusive assets and the reconstruction of specific assets in the process of successor succession. Combining the departure mode of founder with the source of successor, this paper discusses the essence of enterprise succession problem, the choice of different paths of power transfer and its influence mechanism on enterprise growth. The main findings and conclusions are that the special assets of the founder is the key resource for the development of the enterprise. After the founder leaves office, the key to succeed his successor lies in the reconstruction of the special assets. In order to break through the constraints of founder's special assets on the growth of enterprises, to realize the smooth handover of enterprise staff and successors is a dynamic complex and complementary systematic project, and different modes of power transfer have different motives. Characteristics and applicable conditions, enterprises should be specific problems specific analysis, rational planning, reasonable arrangements. Through "process training", "system arrangement" and "cultural heritage", the enterprise can reduce the loss of the founder's special assets to the minimum when he leaves office. To realize the transformation and substitution of founder's special assets and successors' special assets, to form mutual trust, incentive and restraint to professional managers, to realize the successful succession of professional managers, and to achieve the win-win of family interests and enterprise value. This article has the important enlightenment significance for the private enterprise founder to leave the post power transfer path choice.
