【摘要】：近年來,國內(nèi)外企業(yè)跨國并購事件大量涌現(xiàn),繼而跨國并購績效問題在學術(shù)界得到廣泛關(guān)注,本文以微軟收購諾基亞作為案例樣本,借助跨國并購相關(guān)理論知識,深入研究微軟公司跨國并購的原因,即發(fā)展出現(xiàn)低潮,以期拓展新領(lǐng)域、實現(xiàn)協(xié)同效用,開發(fā)手機Windows系統(tǒng)、贏得專利組合,獲取HERE地圖服務(wù)。通過對比分析微軟公司跨國并購前后的績效發(fā)現(xiàn),企業(yè)并購之后債務(wù)償還能力穩(wěn)中有升、盈利能力波動提升、成長能力徘徊前進、營運水平變化不大。通過本文的研究,預(yù)期在一定程度上可以為國內(nèi)外企業(yè)在進行跨國并購、提升并購績效提供一定的理論思考和經(jīng)驗借鑒。
[Abstract]:In recent years, the event of cross-border mergers and acquisitions of enterprises at home and abroad in large numbers, then the performance of transnational merger received widespread attention in academic circles, this paper takes Microsoft's acquisition of NOKIA as a case, by means of cross-border mergers and acquisitions related theoretical knowledge, in-depth study of transnational mergers and acquisitions by Microsoft Corp, the development of low tide, in order to expand new areas, to achieve synergy, the development of Windows mobile phone system, win patent portfolio, HERE map service. Through the comparative analysis of transnational mergers and acquisitions performance before and after the Microsoft Corp found that mergers and acquisitions after the debt repayment ability rises steadily, enhance profitability volatility, growth ability hovering forward, little change in operation level. Through this study, to a certain extent can be expected for the domestic foreign enterprises in cross-border mergers and acquisitions, mergers and acquisitions to enhance performance to provide theoretical thinking and experience reference.
