【摘要】:商業(yè)特許經(jīng)營(yíng)是一種極具魅力的經(jīng)營(yíng)模式?煽诳蓸(lè)、迪斯尼、肯德基、麥當(dāng)勞等眾多大家耳熟能詳?shù)膫髌娑际怯缮虡I(yè)特許經(jīng)營(yíng)模式打造出來(lái)的。許多企業(yè)都通過(guò)特許經(jīng)營(yíng)的方式實(shí)現(xiàn)了企業(yè)規(guī)模的驚人擴(kuò)張。在現(xiàn)代市場(chǎng)經(jīng)濟(jì)領(lǐng)域中,它體現(xiàn)出了極強(qiáng)的生命力。我國(guó)商業(yè)特許經(jīng)營(yíng)起步時(shí)間不長(zhǎng),在其蓬勃發(fā)展的同時(shí)不可避免的引發(fā)了一系列相關(guān)的法律問(wèn)題。在商業(yè)特許經(jīng)營(yíng)中,特許人為了保護(hù)自己的知識(shí)產(chǎn)權(quán)或者為了維持商業(yè)特許經(jīng)營(yíng)體系對(duì)外的同一性,一般都會(huì)對(duì)受許人的經(jīng)營(yíng)活動(dòng)進(jìn)行種種限制。這種限制有其存在的合理性。但是在現(xiàn)實(shí)經(jīng)濟(jì)生活中,特許人為了獲得非法利益,往往濫用自己的權(quán)利對(duì)受許人采取一些不必要的限制,使受許人喪失了自主選擇權(quán)。如何對(duì)待商業(yè)特許經(jīng)營(yíng)中的這些限制性競(jìng)爭(zhēng)行為是我們必須要解決的問(wèn)題。當(dāng)前,我國(guó)對(duì)商業(yè)特許經(jīng)營(yíng)中的限制競(jìng)爭(zhēng)行為還處于學(xué)術(shù)研究階段,相關(guān)法律沒(méi)有對(duì)其進(jìn)行專門(mén)規(guī)制。本文擬通過(guò)對(duì)商業(yè)特許經(jīng)營(yíng)中的典型限制競(jìng)爭(zhēng)行為進(jìn)行分析,比較研究美國(guó)、歐盟國(guó)家的相關(guān)立法,提出完善我國(guó)商業(yè)特許經(jīng)營(yíng)中限制競(jìng)爭(zhēng)行為法律規(guī)制的相關(guān)建議。 本文分四部分進(jìn)行論述:第一部分是對(duì)商業(yè)特許經(jīng)營(yíng)限制競(jìng)爭(zhēng)行為的概述。首先從商業(yè)特許經(jīng)營(yíng)基礎(chǔ)理論入手,分析了商業(yè)特許經(jīng)營(yíng)的法律關(guān)系及該經(jīng)營(yíng)模式的利弊。并在此基礎(chǔ)上論述了商業(yè)特許經(jīng)營(yíng)中限制競(jìng)爭(zhēng)行為存在的合理性以及法律規(guī)制的必要性。第二部分具體分析了商業(yè)特許經(jīng)營(yíng)中的幾種典型的限制競(jìng)爭(zhēng)行為,包括搭售行為、限制轉(zhuǎn)售價(jià)格、地域限制、回授條款以及競(jìng)業(yè)禁止行為。第三部分在比較美國(guó)及歐盟國(guó)家相關(guān)立法的基礎(chǔ)上得出我國(guó)對(duì)該行為立法規(guī)制的啟示。第四部分是對(duì)我國(guó)商業(yè)特許經(jīng)營(yíng)中限制競(jìng)爭(zhēng)行為立法現(xiàn)狀的評(píng)析及對(duì)我國(guó)完善相關(guān)立法的建議。
[Abstract]:Commercial franchise is a very attractive business model.Coca-Cola, Disney, KFC, McDonald's and many other familiar legends are created by the business franchise model.Many enterprises have realized the astonishing expansion of the enterprise scale through the way of franchise.In the field of modern market economy, it embodies a strong vitality.Commercial franchising in our country has not started for a long time, which inevitably leads to a series of related legal problems while its vigorous development.In order to protect their intellectual property rights or maintain the external identity of the commercial franchise system, franchisees generally restrict the franchisee's business activities.This limitation has its existence rationality.But in real economic life, franchisor, in order to obtain illegal benefits, often abuse his right to take some unnecessary restrictions on the franchisee, which makes the franchisee lose his right of choice.How to deal with these restrictive competitive behaviors is a problem that we must solve.At present, the restrictive competition behavior in commercial franchising is still in the stage of academic research, and the relevant laws do not specifically regulate it.Through the analysis of the typical restrictive competition behavior in the commercial franchise, this paper compares the relevant legislation of the United States and the European Union, and puts forward the relevant suggestions to perfect the legal regulation of the restricted competition behavior in the commercial franchise of our country.This paper is divided into four parts: the first part is an overview of commercial franchising to restrict competition.Starting with the basic theory of commercial franchise, this paper analyzes the legal relationship of commercial franchise and its advantages and disadvantages.On this basis, it discusses the rationality of restricting competition and the necessity of legal regulation.The second part analyzes several typical restricted competition behaviors in commercial franchise, including tying behavior, resale price restriction, geographical restriction, back awarding clause and non-competition behavior.In the third part, on the basis of comparing the relevant legislation of the United States and the European Union, the author draws the enlightenment of our country on the regulation of the behavior legislation.The fourth part is the analysis of the current situation of the legislation of restricting competition behavior in China's commercial franchising and the suggestions of perfecting the relevant legislation in our country.
