【摘要】：在知識經(jīng)濟飛速發(fā)展的今天，知識產(chǎn)權(quán)成為所有產(chǎn)業(yè)創(chuàng)造財富的核心資源。知識產(chǎn)權(quán)出資是把知識產(chǎn)權(quán)作為一種特殊的投資形式轉(zhuǎn)換為資本。但是，知識產(chǎn)權(quán)的無形性使其出資比其他有形財產(chǎn)出資更具復(fù)雜性，在實踐中也會產(chǎn)生一些問題，如知識產(chǎn)權(quán)出資主體不適格、出資客體不適格以及知識產(chǎn)權(quán)價值評估不當(dāng)。因此需要對知識產(chǎn)權(quán)出資進行科學(xué)的分析、判斷，避免其在出資過程中可能造成的利益損害，防范其在實踐中可能發(fā)生的風(fēng)險。 本文運用比較研究、綜合分析、經(jīng)驗總結(jié)等方法，對我國知識產(chǎn)權(quán)出資法律問題進行研究。全文除了引言和結(jié)論部分之外，分為四個部分進行論述：第一部分是對知識產(chǎn)權(quán)出資的理論分析。該部分對知識產(chǎn)權(quán)出資的含義、特點、出資的可行性進行分析，這是全文的理論基礎(chǔ)和結(jié)構(gòu)依據(jù)。第二部分是我國知識產(chǎn)權(quán)出資中的法律問題。對出資主體不適格、出資客體不適格、知識產(chǎn)權(quán)價值評估不當(dāng)這三個問題，進行分情況討論。第三部分是中外知識產(chǎn)權(quán)出資的相關(guān)立法規(guī)定。第四部分是解決我國知識產(chǎn)權(quán)出資問題的建議。本部分是文章的核心內(nèi)容，通過前三部分的分析研究，，從出資主客體、價值評估體系、法律制度等方面提出了解決問題的幾點建議。
[Abstract]:With the rapid development of knowledge economy, intellectual property has become the core resource for all industries to create wealth. Intellectual property investment is to convert intellectual property as a special form of investment into capital. The intangibility of intellectual property makes its contribution more complicated than other tangible property, and some problems will arise in practice, for example, the subject of intellectual property contribution is unsuitable. Therefore, it is necessary to scientifically analyze and judge the investment of intellectual property, to avoid the possible damage to the interests caused by the investment, and to guard against the risks that may occur in practice. This paper uses the methods of comparative study, comprehensive analysis, experience summary and so on, to study the legal problems of intellectual property capital contribution in China. It is divided into four parts: the first part is the theoretical analysis of intellectual property capital contribution. This is the theoretical basis and structural basis of the full text. The second part is the legal problems in intellectual property capital contribution in China. The third part is the relevant legislative provisions of intellectual property investment in China and foreign countries. The 4th part is the suggestion to solve the problem of intellectual property capital contribution in China. This part is the core content of the article, through the first three parts of the analysis and research, Some suggestions on how to solve the problem are put forward from the aspects of subject and object, value evaluation system, legal system and so on.
