【摘要】：美國法院依據紐約州民事訴訟規(guī)則5225(b)對在紐約州設立分支的中國金融機構行使域外管轄權,發(fā)布境外財產交付令,要求后者在全球范圍內搜索判決項下債務人的財產,并交付到紐約州供判決執(zhí)行,使后者承擔高昂成本和巨大法律風險。獨立實體原則與該規(guī)則的實施有著密切關系,但該原則的存廢有著爭議,其預期走向不明。為此一方面需要通過推翻判例或修改成文法將財產交付令的適用地域限制在紐約州;另一方面需要我國與美國積極開展外交談判,通過與美國的雙邊安排,以及聯合其他國家通過多邊途徑,要求美國在雙邊條約或國際公約的框架下,尊重財產所在地國的管轄權,限制美國法律的域外管轄,為中國企業(yè)國際化爭取有利環(huán)境。
[Abstract]:In accordance with the New York State Civil procedure Rule 5225 (b), US courts exercise extraterritorial jurisdiction over Chinese financial institutions with branches in New York State, issue overseas property delivery orders, and require the latter to search the property of the debtor under judgment on a global scale. And delivered to New York State for enforcement, placing the latter at a high cost and at great legal risk. The principle of independent entity is closely related to the implementation of the rule, but its preservation or abolition is controversial, On the one hand, there is a need to limit the territorial application of property delivery orders to New York by overturning jurisprudence or amending statutory law; on the other hand, we need to actively engage in diplomatic negotiations with the United States, through bilateral arrangements with the United States, In addition, the United States, through multilateral means, requires the United States to respect the jurisdiction of the countries where the property is located, to limit the extraterritorial jurisdiction of the United States laws, and to strive for a favorable environment for the internationalization of Chinese enterprises under the framework of bilateral treaties or international conventions.
